1. Introduction
2019 CBSSports.com Parlay Pick 'em Challenge
Welcome to the 2019 CBSSports.com Parlay Pick'em Challenge (the "Challenge"), where you compete against other participants to see who can correctly predict the outcome of selected scheduled National Football League ("NFL") games in accordance with these 2019 CBSSports.com Parlay Pick'em Challenge Rules ("Official Rules"). Early sign-up begins on August 30, 2019. The Challenge commences on September 5, 2019 and ends at the conclusion of the last NFL regular season game played on December 29, 2019 (the "Challenge Period").

No Cost
The Challenge is FREE to play. No purchase, wireless device or entry fee necessary to enter or win. If you are a wireless service subscriber and have a smartphone, tablet or other wireless device that allows you to access this Challenge, you may play the Challenge via any of those devices. If you decide to access the Challenge via any of such wireless device, you may be charged data rates according to the terms and conditions of your service agreement with your wireless carrier.

IMPORTANT NOTICE: THIS CHALLENGE IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 4 BELOW.

The Administrator
CBS Interactive Inc. ("CBSI") will serve as the administrator (the "Administrator") of the Challenge and will be responsible for resolving any disputes that arise regarding violations of the rules.

Eligibility
The Challenge is open to persons who are: (a) Registered Users (as defined below); (b) legal residents of the United States; and (c) at least eighteen (18) years old or age of majority, whichever is older in state of residence, at the date of registration in the Challenge. For purposes of clarity, persons who reside in Puerto Rico are expressly excluded from this Challenge. Void where prohibited by law.

Note: Professional football players, team owners, management and personnel; professional sports agents; referees; and league employees who play/work in the United States, are not eligible to play in this Challenge, as well as, employees of an operator of a fantasy sports website offering paid challenges or a sports betting operator.

For purposes of these Official Rules, "Registered User" means a person who has successfully completed the registration form and has obtained a user identification ("ID") and associated password ("Password") on one of the CBS Sports network of websites, which currently includes CBSSports.com and SportsLine.com.

If you are not a Registered User, you may become a Registered User and obtain an ID and a Password by completing the CBSSports.com registration form. There is no fee or charge to become a Registered User.

Employees agents, successors, and assignees of CBSI, SportsHub Games Network, CBS Broadcasting Inc. and SCA Promotions, Inc. (collectively the "Challenge Entities") and each of their parent companies, affiliates, subsidiaries, advertising agencies and promotional companies involved in this Challenge, and their immediate family members are not eligible to play, participate or win in this Challenge. "Immediate family member(s)" is defined as a parent, sibling or any person residing in the same household as an employee of the Challenge Entities. Void where prohibited by law.



2. Playing
Signing Up
You may sign up to participate in the Challenge at any time during the Challenge Period.

Registered Users may sign up by visiting the CBSSports.com Challenge page accessible at https://picks.cbssports.com/football/parlay (the "CBSI Site") and follow the onscreen instructions, incorporated herein by reference, in order to enter. The Challenge Period consists of seventeen (17) separate Weekly Periods. A "Weekly Period(s)" is defined as the period of time that begins on or about 3:00 p.m. ET of Tuesday's afternoons when the Winning Margins are posted, and ends at 6:00 a.m. ET on Tuesday mornings during the Challenge Period. To enter the Challenge, participants will need to fill in a parlay card (the "Parlay") for at least one (1) of the Weekly Periods in accordance with the terms herein. Participants may fill in their Parlay for a Weekly Period during an applicable Parlay Entry Period. "Parlay Entry Period" means the period of time within an applicable Weekly Period that starts on or about 3:00 p.m. ET of Tuesday's afternoons and ends at the time your Parlay locks, with the start of the earliest game in your Parlay. For instructions on how to create your Parlay, see below. Participants may participate in as many Weekly Periods as they want during the Challenge Period; however, participants will be limited to one Parlay per Parlay Entry Period.

Making Picks
The Challenge will run concurrently with the 2019 NFL regular season. The Administrator will list all selected scheduled NFL games on the CBSI Site for each Weekly Period along with the Winning Margins (as defined below) for each game. Participants must select a minimum of two (2) games in order to complete a Parlay; however, participants may pick any number between 2 and the maximum number of games available for the applicable Weekly Period, to complete an eligible Parlay. The points awarded will be based on the number of games participant selects and the degree of difficulty associated with accurately predicting which pick(s) will beat the Winning Margin as set forth in the Scoring section below. Any participant that selects the maximum number of games available for a Weekly Period (which cannot be less than 13 games, as applicable), will be presented with three questions connected to one of the available games for such Weekly Period (the "Featured Game") that participant must answer to submit their Parlay and compete for the Challenge Prize (as defined below).

Please Note: During the NFL regular season different weeks contain different amount of games, ranging from 13 to 16 scheduled games. Please check the NFL official game schedule for the scheduled number of games in a particular week. In order to compete for the Challenge Prize a minimum of 13 games must be played during the applicable Weekly Period. For example, if on a Weekly Period that includes a maximum of 15 games (in the schedule), to be played, if for any reason a game is canceled and not rescheduled for that same Weekly Period, wherefore only 14 games are played during such Weekly Period, participant's Parlay overall game selection will be reduced by the number of canceled games. However, if the number of canceled games in a Weekly Period brings the number of games played to under 13, all Parlays for such Weekly Period will become invalid to compete for the Challenge Prize. Such Parlays will still be eligible to compete for the Season Long Prize (as defined below).

You do not need to participate in all 17 Weekly Periods during the Challenge Period, however, for each Weekly Period in which you participate, you must make picks for at least 2 match-ups listed as "available" games at the time you enter your picks in order to score points. The list of "available" games is defined as the games listed on the CBSI Site that have not locked. If a game is locked, you will not be able to make picks for that match-up. For the purpose of clarity, if you enter the Challenge on a Sunday afternoon (after the Thursday game of the applicable Weekly Period), you must select a team from at least 2 of the remaining games to be played during the applicable Weekly Period, starting on the Sunday you enter and ending with the last scheduled NFL game for the applicable Weekly Period.

Limit of one (1) Parlay (entry) per person per Weekly Period. Limit of 17 Total Parlays per person for the duration of the Challenge Period.

Scoring
Each Weekly Period, the scheduled NFL games selected for the Challenge will be assigned a Winning Margin, as determined in the sole and exclusive discretion of CBSI. Once assigned the Winning Margin is not subject to change. "Winning Margin" is defined as the number of points by which one team, the "Favorite" is expected to beat its opponent, the "Underdog." Participants must select a team, from the available games, who they anticipate will beat the Winning Margin. A team will be considered to beat the Winning Margin in the following instances: (i) the Favorite team's actual score minus the Winning Margin exceeds the Underdog's actual score; OR (ii) the Underdog's actual score plus the Winning Margin exceeds the Favorite's actual score. Each Weekly Period, you will be awarded points based on the number of games selected in your Parlay and the degree of difficulty associated with accurately predicting which pick(s) will beat the Winning Margin. Such points will be your Parlay score for the applicable Weekly Period.

How to Participate for a Prize
The Challenge will award one (1) Challenge Prize and one (1) Season Long Prize (as defined below). The Season Long Prize(s) and the Challenge Prize collectively, the "Prize(s)."

How to Participate for the Challenge Prize
Participants must correctly predict which teams will beat the Winning Margin for all scheduled NFL regular season games (minimum of 13 and a maximum of 16) available in a Weekly Period, answer the three Featured Game questions correctly and hit the "Submit" button in order to qualify for the challenge prize (the "Challenge Prize"). Please Note: changes to your Parlay picks may be made up to the start of the earliest game in your Parlay. Every time you make a change to your Parlay, you must hit the "Submit" button in order to save your changes. If you do not hit the "Submit" button every time you make a change, your prior Parlay saved in the system will be the official Parlay you will be participating with in the Challenge. If your changes bring the number of match-ups picked for your Parlay under the minimum necessary to participate for the Challenge Prize, you will no longer be participating for the Challenge Prize.

How to Participate for the Season Long Prize
To participate for the Season Long Prize, Participants must submit at least one (1) eligible Parlay with their picks for at least one (1) Weekly Period during the Challenge Period in order to accrue points and compete for the Season Long Prize. To accrue points on a Parlay, participants must correctly pick the team, in each of the match-ups selected (minimum of 2 to participate), that will beat the Winning Margin and hit the "Submit" button, otherwise participant will not accrue any points for such Weekly Period.

For example, if participants' choses to participate in two match-ups and correctly pick the team, in each match-up selected, that will beat the Winning Margin, such participant will accrue the established points (as set forth below) as participant's score towards the Season Long Prize. However, if a participant chose to participate in two match-ups and only gets one of the two picks correct, participant will receive zero points as its score towards the Season Long Prize.

Please Note: changes to your Parlay picks may be made up to the start of the earliest game in your Parlay. Participants participating for the Season Long Prize, must hit the "submit" button to save their changes. If you do not hit the "Submit" button every time you make a change, your prior Parlay saved in the system will be the official Parlay you will be participating with in the Challenge.

The total number of points earned based on successful weekly Parlays, for the duration of the Challenge, will be the participant's overall score for the Challenge. Participants will accrue points, during the Weekly Periods, as outlined below.

Deadlines
You may sign up to play in the Challenge at any point during the Challenge Period, up to the first kickoff of the weekly Sunday Night Game or when there is at least two (2) games remaining that have not locked for the applicable Weekly Period. For example, the first week of the NFL season has two (2) scheduled Monday night football games so a participant can submit a Parlay for that Weekly Period, up until the start of the first scheduled Monday night game, when all other scheduled games will be locked. It's a good idea to check the NFL schedule, so you'll know when games begin each week to meet your pick submission deadlines.

Please Note — Once your picks are submitted for a Weekly Period, you may edit your picks up until the earliest start time of the NFL game(s) included in your Parlay. Once the earliest game(s) in your Parlay has locked, all of your picks will be considered final.

Statistics/Scoring Corrections
Throughout the Challenge, all statistics and scoring totals are verified, and corrections are made where necessary, following the completion of all games of the applicable Weekly Period. For purposes of this Challenge, all statistics and point totals for the prior Weekly Period's games are considered FINAL as of 6:00 AM ET on the Thursday following the end of a Weekly Period. If a stat or score correction is announced for the previous Weekly Period's NFL games after 6:00 AM ET on Thursday, such stat correction will not be included in the applicable statistics, and the final stats/scores for the applicable Weekly Period will be based on the original statistic/score.

Canceled/Postponed Games
If one or more games scheduled for a Weekly Period are canceled, interrupted or rescheduled for a different Weekly Period, and such game(s) are a part of your Parlay, your overall game selection for that Weekly Period will be reduced by the number of such game(s) and scoring will be adjusted accordingly. If your initial Parlay only included two match-ups, and at least one (1) of such match-ups is cancelled or rescheduled for a different Weekly Period, your Parlay would become invalid for that Weekly Period.

If the Featured Game is canceled, interrupted or rescheduled for a different Weekly Period, wherefore the questions do not have answers, the Challenge Prize will be eliminated from that Weekly Period, and will not be available to be awarded.



3. Prizes
Season Long Prize
The eligible participant who accumulates the most points during the Challenge Period will be named the season winner (the "Season Long Prize Winner") and will receive the season long prize ("Season Long Prize") to be awarded in accordance with these Official Rules. The Season Long Prize consists of Ten Thousand Dollars (US$10,000.00), to be awarded in the form of a check or as otherwise decided by CBSI in its sole discretion. If more than one eligible participant is tied for the most points for the entire season, the tied participant that had hit the highest scoring parlay throughout the season will win the Season Long Prize. If there is still a tie, the participant that had the most top scoring Weekly Parlays over the season, from amongst the tied players, will win the Season Long Prize.

If there is still a tie, the participant who accumulated the most points in a Weekly Period, starting from Week 17 and moving back through the prior Weekly Period(s) as needed, will determine the winner. If a tie remains, Season Long Prize will be split among tied participants.

Challenge Prize
All eligible participants who successfully and correctly complete a Parlay card that includes every selected scheduled NFL game in a Weekly Period (meaning correctly picked the team in all scheduled match-ups that beat the Winning Margin), AND successfully answered the three questions about the Featured Game correctly will equally and ratably share the Challenge Prize, which consists of One Million Dollars (US$1,000,000.00) ("Challenge Prize Winner(s)"). The Challenge Prize will be payable in twenty (20) equal annual installments of Fifty Thousand Dollars (US$50,000.00) each, without interest, or equally distributed amongst tied participants where applicable.

There will be only one Challenge Prize awarded throughout the Challenge. If no participant correctly completes an eligible Parlay card, during any Weekly Period, throughout the Challenge Period, that includes the teams that beat the Winning Margin of every selected scheduled NFL game presented for such applicable Weekly Period AND correctly answered the three questions about the Featured Game presented, the Challenge Prize will not be awarded. For the purpose of clarity, if one or more participants win the Challenge Prize in a Weekly Period, there will be no other Challenge Prize awarded in any other Weekly Period.

Prize Notification
The potential Challenge Prize Winner(s) will be notified via email within fourteen (14) days from the end of the applicable Weekly Period in which participant(s) correctly completed a Parlay card (meaning correctly picked the team in all scheduled match-ups, that beat the Winning Margin) and correctly answered all three questions that pertained to that Weekly Period.

The potential Season Long Prize Winner will be notified within 14 days from the end of the Challenge Period.

The Season Long Winner(s) and the Challenge Prize Winner(s) collectively, the "Winner(s)."

All potential Winners are required to complete and submit to CBSI or a CBSI designated third party an Affidavit of Eligibility and Release (the "Affidavit") and a W-9 tax form. Such Affidavit must include Winner's social security number and include a copy of their current driver's license or current government issued ID that includes a photo and the potential Winner's current address ("Gov. ID") when submitting their Affidavit. By completing such Affidavit, it will be understood that potential Winner has complied with the Challenge Rules.

Please note: All potential Winner's Affidavit must be received by CBSI with their current Gov. ID no later than January 31, 2020.

In the event that a potential Winner is deemed ineligible and/or does not claim their Season Long Prize by the dates specified herein, an alternate Season Long Prize Winner may be selected in accordance with these Official Rules. Only one attempt for a new alternate will be conducted. If attempts fail, such Season Long Prize will be forfeited, and the Season Long Prize will not be awarded.



4. Legal Disclaimers
All participants agree to abide by the terms of these Official Rules and the legal disclaimers below, and by the decisions of CBSI, which are final and binding on all matters pertaining to the Challenge.

General Conditions
By entering, each entrant accepts and agrees to be bound by these rules and by the decisions of CBSI, which shall be final and binding in all respects. Further, each entrant also acknowledges and agrees to the CBS Interactive Inc. Terms of Use and Privacy Policy, incorporated herein by reference. Any and all taxes, if any, in relation to acceptance of a Prize are the sole responsibility of each Winner. No substitution or transfer of a Prize is permitted except by CBSI. CBSI reserves the right to substitute a Prize for one of equal or greater value.

Except where prohibited by law, a Winner's acceptance of a Prize constitutes permission for the Challenge Entities to use Winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation. Entrants agree to CBSI's use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

All federal, state, local regulations apply.

CBSI is not responsible for lost, late or misdirected online entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a contestant, equipment, or technical malfunction or for any human error, technical error or malfunctions. CBSI reserves the right to halt or modify the Challenge at any time during the Challenge Period, if events beyond their control compromise the Challenge fairness or integrity. In the event that all scheduled games during a Weekly Period are cancelled for any reason, no points or Prize(s) will be awarded for that week.

CBSI is not responsible for typographical or other human, technical or other errors in the offer or administration of this Challenge, including but not limited to, errors in advertising, the Official Rules, the selection and announcement of a Winner or the distribution of a Prize.

CBSI, in its sole discretion, may disqualify any entrant from participating in the Challenge, refuse to award points or a Prize, and require the return of a Prize, if entrant engages in any conduct CBSI deems to be improper, unfair or otherwise adverse to the operation of the Challenge or detrimental to other entrants. Such improper conduct includes, but is not limited to, falsifying personal information required during Challenge registration or Prize claim, violating any term or condition stated herein, accumulating points or a Prize through methods such as automated computer scripts or other programming techniques, allowing others to use the entrant's personal information for the purpose of accumulating points or a Prize, tampering with CBSI's administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this website. Winner(s) further acknowledge(s) that the forfeiture of a Prize and/or return of a Prize shall in no way prevent CBSI from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

CBSI reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Challenge. This Challenge is not affiliated with or endorsed by the NFL or any NFL team. This Challenge is designed to entertain and increase consumer awareness of, and interest in CBSSports.com.

This Challenge may not be used for any form of gambling, betting or wagering.

Rules/Winner's Information
For the name of the Winners, send a self-addressed and stamped envelope for receipt by February 28, 2020 to "Winners list: CBSSports.com Pick'em Challenge" c/o CBS Interactive Inc., 1401 W. Cypress Creek Rd., Suite 200, Fort Lauderdale, FL 33309.

For a copy of the Official Rules, send a self-addressed and stamped envelope to the above address marked "Official Rules: CBSSports.com Pick'em Challenge" for receipt by January 4, 2020. Residents from VT may omit postage on the self-addressed envelope.

Internet
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of CBSI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Challenge, CBSI reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Challenge. In such event, CBSI further reserves the right to award the Season Long Prize to the participant with the highest Season Long Score (tiebreakers apply) from all eligible participants in the Challenge as of termination date.

CBSI assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. CBSI is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Challenge.

Lost or Corrupted Entries
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage-due entries or mail (if applicable); or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Challenge Entities and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Challenge, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Challenge.

Damaged Property
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person's computer or property related to or resulting from participating in this Challenge or downloading materials from this Challenge.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, CBSI RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any Entry that is incomplete, late, or does not include a validly issued ID will be disqualified.

In the event that the Challenge is challenged by any legal or regulatory authority, CBSI reserves the right to discontinue or modify the Challenge, or to disqualify participants residing in the affected geographic areas. In such event, CBSI shall have no liability to any participants who are disqualified due to such an action.

Challenge Errors
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Challenge; (b) in any related advertising or promotions of this Challenge; and/or (c) in these Official Rules including but not limited to errors in advertising, the Official Rules, the selection and announcement of the Winner(s) or the distribution of the Prize(s). In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Challenge.

Winners and Prizes
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of a Winner, the distribution of the Prizes, the acceptance/possession and/or use/misuse of any part of a Prize and/or any injury or damage to any entrant's or third person's property related to or resulting from any part of a Prize or any part of this Challenge.

Release and Indemnity
Each entrant in the Challenge, including, without limitation, the Winners, hereby releases and agrees to hold harmless the Challenge Entities and their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a Prize, participation in this Challenge and participation in any activity related to this Challenge.

Limitation of Liability and Disclaimer of Warranties
IN NO EVENT WILL THE Challenge ENTITIES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE CHALLENGE, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE CHALLENGE. IN NO EVENT SHALL CBSI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS (US$100.00). WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE CHALLENGE AND THE SERVICE INCLUDING THE PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. Binding Arbitration
The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Challenge. Any controversy or claim arising out of or relating to these Official Rules and/or the Challenge, shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, in the City of San Francisco.

Governing Law and Jurisdiction
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. FOR ANY MATTERS WHICH ARE NOT SUBJECT TO ARBITRATION AS SET FORTH IN THESE OFFICIAL RULES AND/OR IN CONNECTION WITH THE ENTERING OF ANY JUDGMENT ON AN ARBITRATION AWARD IN CONNECTION WITH THESE OFFICIAL RULES AND/OR THE CHALLENGE, THE PARTIES IRREVOCABLY SUBMIT AND CONSENT TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE CALIFORNIA STATE AND FEDERAL COURTS LOCATED IN THE CITY OF SAN FRANCISCO, AND STATE OF CALIFORNIA. THE PARTIES AGREE NOT TO RAISE THE DEFENSE OF FORUM NON CONVENIENS.
