1. Introduction
2020 CBSSports.com Parlay Pick 'em Challenge
Welcome to the 2020 CBSSports.com Parlay Pick'em Challenge (the "Challenge"), where you compete against other participants to see who can correctly predict the outcome of selected scheduled National Football League ("NFL") games in accordance with these 2020 CBSSports.com Parlay Pick'em Challenge Rules ("Official Rules"). Early sign-up begins on August 11, 2020. The Challenge commences on September 10, 2020 and is scheduled to end at the conclusion of the last NFL regular season game to be played on or around January 3, 2021 (the "Challenge Period").

No Cost
The Challenge is FREE to play. No purchase, wireless device or entry fee necessary to enter or win. If you are a wireless service subscriber and have a smartphone, tablet or other wireless device that allows you to access this Challenge, you may play the Challenge via any of those devices. If you decide to access the Challenge via any of such wireless device, you may be charged data rates according to the terms and conditions of your service agreement with your wireless carrier.

IMPORTANT NOTICE: THIS CHALLENGE IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 4 BELOW.

The Administrator
ViacomCBS Digital ("CBSI") will serve as the administrator (the "Administrator") of the Challenge and will be responsible for resolving any disputes that arise regarding violations of the rules.

Eligibility
The Challenge is open to persons who are: (a) Registered Users (as defined below); (b) legal residents of the United States; and (c) at least eighteen (18) years old or age of majority (Except Colorado where the minimum entry age is 21), whichever is older in state of residence, at the date of registration in the Challenge. For purposes of clarity, persons who reside in Puerto Rico and other U.S territories and possessions are expressly excluded from this Challenge. Void where prohibited by law.

Note: Professional football players, team owners, management and personnel; professional sports agents; referees; and league employees who play/work in the United States, are not eligible to play in this Challenge, as well as, employees of an operator of a fantasy sports website offering paid challenges or a sports betting operator.

For purposes of these Official Rules, "Registered User" means a person who has successfully completed the registration form and has obtained a user identification ("ID") and associated password ("Password") on one of the CBSI sports websites, which currently includes CBSSports.com and SportsLine.com.

If you are not a Registered User, you may become a Registered User and obtain an ID and a Password by completing the CBSSports.com registration form. There is no fee or charge to become a Registered User.

Employees agents, successors, and assignees of CBSI, SportsHub Games Network, CBS Broadcasting Inc. and ViacomCBS (collectively the "Challenge Entities") and each of their parent companies, affiliates, subsidiaries, advertising agencies and promotional companies involved in this Challenge, and their immediate family members are not eligible to play, participate or win in this Challenge. "Immediate family member(s)" is defined as a parent, sibling or any person residing in the same household as an employee of the Challenge Entities. Void where prohibited by law.



2. Playing
Signing Up
You may sign up to participate in the Challenge at any time during the Challenge Period. Registered Users may sign up by visiting the CBSSports.com Parlay Pick'em Challenge page accessible at https://picks.cbssports.com/football/parlay (the "CBSI Site") and follow the onscreen instructions, incorporated herein by reference, in order to enter. The Challenge Period consists of up to seventeen (17) separate Weekly Periods. A "Weekly Period(s)" is defined as the period of time that begins on or about 4:00 p.m. ET on Tuesday's afternoons when the initial Winning Margins (as defined below) are posted and ends at 6:00 a.m. ET of the following Tuesday, during the Challenge Period. To enter the Challenge, participants will need to fill in a parlay card (the "Parlay") for at least one (1) of the Weekly Periods, in accordance with the terms herein. Participants may fill in their Parlay for an applicable Weekly Period during the Parlay Entry Period. "Parlay Entry Period" means the period of time that starts at the commencement of an applicable Weekly Period and ends at the time your Parlay locks, with the start of the earliest game in your Parlay. For instructions on how to create your Parlay, see below. Participants may participate in as many Weekly Periods as they want during the Challenge Period; however, participants will be limited to one Parlay per Weekly Period.

Making Picks
To enter the Challenge and qualify for the Prizes (as defined below) participants must complete a Parlay. To complete a Parlay, participants must go to the Challenge entry page, select a total of five (5) games out of the available NFL games provided, answer the tiebreaker question(s), create a nickname and login to the CBSI Service. The Challenge will run concurrently with the 2020 NFL regular season. The Administrator will list all selected scheduled NFL games for each Weekly Period along with the Winning Margins for each game on the CBSI Site. Winning Margin will be present on the page as well as presented in the form of a question which participants must answer correctly in order to earn points. Note: Winning Margins may fluctuate depending on date and time of entry based on the latest Winning Margins available. IF YOU FAIL TO ENTER A TIEBREAKER AND/OR LOGIN TO CBSSPORTS.COM AFTER MAKING YOUR PICKS, YOU WILL NOT RECEIVE AN ENTRY. Participants that are not logged in or registered will be prompted to do so. The Parlay will consist of a series of questions related to the game(s) and the games you select will be considered your picks ("your Picks"). Incomplete Parlay(s) will be disqualified. Each correct pick will receive one (1) point.

Please Note: During the NFL regular season different weeks contain different amount of games, ranging from 13 to 16 scheduled games. Please check the NFL official game schedule for the scheduled number of games in a particular week. In order to qualify for a Weekly Prize (as defined below), you must get all five (5) picks correct. If no one gets all five (5) picks correct, such Weekly Prize will not be awarded, however, points accrued for correct picks by participants in a Weekly Period will cumulate towards your Season Long score (as define below). If for any reason a game(s) is canceled and not rescheduled for that same Weekly Period, and you had selected such game(s) as a part of your Parlay, your parlay will be reduced by the number of canceled games and you will not be eligible for the applicable Weekly Prize.

You do not need to participate in all 17 Weekly Periods during the Challenge Period, however, for each Weekly Period in which you participate, you must make the necessary five (5) games Picks (no more, no less) from those games listed as "available" at the time you enter your Picks to complete your Parlay in order to score points. The list of "available" games is defined as the games listed on the CBSI Site that have not locked. If a game is locked, you will not be able to pick such game to complete your Parlay. For the purpose of clarity, if you enter the Challenge on a Sunday afternoon (after the Thursday game of the applicable Weekly Period), you must select five (5) games from the remaining games left to be played to complete your Parlay during the applicable Weekly Period, starting on the Sunday you enter and ending with the last scheduled NFL game for the applicable Weekly Period. Once there are less than five (5) games remaining for the Weekly Period, you will be unable to participate for that Weekly Period.

Limit of one (1) Parlay (entry) per person per Weekly Period. Limit of 17 total Parlays per person for the duration of the Challenge Period.

Changing Picks
Once you have submitted your entry, you may change your picks at any time prior to the start time of the earliest game included in your selected parlay. Once the earliest game has started your parlay is locked. PLEASE NOTE: if you decide to change your parlay prior to your Parlay's lock time, your current Parlay will be removed, and you will have to start over and submit your 5 picks again (along with answers to the tie-breaker questions) and those new picks may contain updated Winning Margins for each game.

Scoring
Each Weekly Period, the scheduled NFL games selected for the Challenge will be assigned a Winning Margin, as determined in the sole and exclusive discretion of CBSI, and each Winning Margin will be displayed with each of the games and will also appear in the form of a question to the user. The initial Winning Margins for the selected game(s) will be published on Tuesdays at the start of the Weekly Period and may fluctuate as the week progresses up until the start of such selected game(s). "Winning Margin(s)" is defined as the number of points by which one team, the "Favorite" is expected to beat its opponent, the "Underdog." Participants must select a team, from the available selected games, who they anticipate will beat the Winning Margin for such game. A team will be considered to beat the Winning Margin in the following instances: (i) the Favorite team's actual score minus the Winning Margin exceeds the Underdog's actual score; OR (ii) the Underdog's actual score plus the Winning Margin exceeds the Favorite's actual score., Participants will be awarded points based on the number of correctly selected games in their Parlay that beat the Winning Margin. Such points will be your Parlay score for the applicable Weekly Period and will accumulate for your Season Long score. Please note: if a Winning Margin contains a decimal (e.g. 3.5) When such Wining Margin is shown in the form of a question it will be rounded up to the next round number. For example, if the Winning Margin is 3.5, the number in the question will be 4.

How to Participate for a Prize
The Challenge will award one (1) Weekly Prize and one (1) Season Long Prize (as defined below). The Weekly Prize and the Season Long Prize, collectively, the "Prize(s)."

How to Participate for the Weekly Prize
Participants' Parlay must get all of five (5) picks correct during a Weekly Period, (b) answer the two tiebreaker questions, (c) hit the ' Submit' button, and (d) be logged in to CBSSports.com in order to qualify for a weekly prize (a "Weekly Prize") (tie-breakers apply). Please Note: changes to your Parlay picks may be made up to the start of the earliest game in your Parlay, however a brand-new parlay must be created in accordance with the winning margins for each game at the time you make that change. Every time you make a change to your Parlay, you must hit the ' Submit' button in order to save change your picks. If you do not hit the ‘Submit' button every time you choose to change your parlay, you will not have picks for the weekly contest.

How to Participate for the Season Long Prize
To participate for the Season Long Prize, Participants must submit at least one (1) eligible Parlay with their picks for at least one (1) Weekly Period during the Challenge. The eligible participant who accrues the most points during the Challenge Period will be deemed the Season Long prize winner (tie-breakers apply).

The total number of correct picks each Weekly Period against the Winning Margin(s) for the duration of the Challenge, will be the participant's overall Season Long score for the Challenge. Participants will accrue 1 (one) point for each correct pick.

Deadlines
You may sign up to play in the Challenge at any point during the Challenge Period, up to when there is at least five (5) games remaining that have not locked for the applicable Weekly Period. It's a good idea to check the NFL schedule, so you'll know when games begin each week to meet your pick submission deadlines.

Please Note — Once your picks are submitted for a Weekly Period, you may change your parlay up until the start time of the earliest NFL game(s) included in your Parlay. Once the earliest game(s) in your Parlay has locked, all of your picks will be considered final.

Statistics/Scoring Corrections
Throughout the Challenge, all statistics and scoring totals are verified, and corrections are made where necessary, following the completion of all games of the applicable Weekly Period. For purposes of this Challenge, all statistics and point totals for a Weekly Period's games are considered FINAL as of 9:00 AM ET on the Tuesday following the end of such Weekly Period. If a stat or score correction is announced for the previous Weekly Period's NFL games after 9:00 AM ET on Tuesday, such stat correction will not be included in the applicable statistics, and the final stats/scores for the applicable Weekly Period will be based on the original statistic/score.

Canceled/Postponed Games
If one or more games scheduled for a Weekly Period are canceled, interrupted or rescheduled for a different Weekly Period, and such game(s) are a part of your Parlay, your overall game selection for that Weekly Period will be reduced by the number of such game(s) and scoring will be adjusted accordingly and you will not be eligible for the Weekly Prize.

If the Featured Game for tiebreaker purposes is canceled, interrupted or rescheduled for a different Weekly Period and/or if a weekly game that is cancelled and is a part of your Parlay, wherefore the questions do not have answers, the Weekly Prize will be eliminated from that Weekly Period and will not be awarded, However, any points accumulated for a correct pick(s) within that week's parlay will still accumulate toward your Season Long score.

In the event of a change to the start or end date of the NFL Football regular season for any reason, the dates of the Playing Period may change to correspond to the NFL regular season at CBSI's sole and exclusive discretion.

If due to any circumstance, the NFL regular season is delayed, shortened or cancelled, CBSI may in its sole and exclusive discretion make material changes to this Challenge, including ending the Challenge at any time. If such changes are necessary, they will be implemented within the Challenge and noted in these Official Rules.



3. Prizes
Season Long Prize
The eligible participant who accumulates the most points during the Challenge Period will be named the season winner (the "Season Long Prize Winner") and will receive the season long prize ("Season Long Prize") to be awarded in accordance with these Official Rules. The Season Long Prize consists of Twenty Thousand Dollars (US$20,000.00), to be awarded in the form of a check or as otherwise decided by CBSI in its sole discretion. If more than one eligible participant is tied for the most points for the entire season, the tied participant(s) that had the most Weekly Periods with 5 questions answered correctly will win the Season Long Prize. If there is still a tie, the participant that had the most Weekly Periods with 4 questions correctly answered, from amongst the remaining tied participants, during the Challenge Period will win the Season Long Prize.

If there are still 20 or less participants tied after both tiebreakers are applied, the remaining participants will split the Season Long Prize evenly. If there are more than 20 participants tied after both tiebreakers are applied, the Season Long Prize will be awarded to a randomly selected participants from among all remaining tied participants.

Weekly Prize
The eligible participant who successfully answers all (5) five questions correctly in a Weekly Period will be named the Weekly Prize winner (tie-breakers apply). Except for the first Weekly Period, for which the Weekly Prize is the amount of Five Thousand Dollars (US$5,000.00), the Weekly Prize for all other Weekly Periods consists of One Thousand Dollars (US $1,000.00). If more than one person tied with (5) five correct answers, the tie will be broken by reviewing each participant's predicted combined score for the applicable Monday Night Football game and compare it to the actual final combined score for the applicable Monday Night Football game; the eligible participant whose predicted combined score is closest to the actual combined score will be declared the Weekly Prize Winner. If there is still a tie, the tie among the remaining participants will be broken by reviewing each participant predicted combined net offensive yards (defined by Net Passing Yards Plus Net Rushing Yards) and comparing it to the actual total Net Offensive Yards in the Monday Night Football game.

If there is still a tie after both tiebreakers are applied, the remaining participants will split the Weekly Prize. If no one correctly answers all five (5) questions, the Weekly Prize will not be awarded.

Weekly Prize Notification
The potential Weekly Challenge Prize Winner(s) will be notified via email within fourteen (14) days from the end of the applicable Weekly Period.

Season Long Prize Winner Notification
The potential Season Long Prize Winner will be notified within 14 days from the end of the Challenge Period.

The Season Long Winner(s) and the Weekly Prize Winner(s) collectively, the "Winner(s)."

In the event that a potential Weekly and/or a Season Long Winner is deemed ineligible and/or does not claim their Prize by the dates specified herein, an alternate Prize Winner may be selected in accordance with these Official Rules. Only one attempt for a new alternate per Prize will be conducted. If attempts fail, such Prize will be forfeited, and the will not be awarded.

All potential Winners are required to complete and submit to CBSI or a CBSI designated third party an Affidavit of Eligibility and Release (the "Affidavit") and a W-9 tax form. Such Affidavit must include Winner's social security number and include a copy of their current driver's license or current government issued ID that includes a photo and the potential Winner's current address ("Gov. ID") when submitting their Affidavit. By completing such Affidavit, it will be understood that potential Winner has complied with the Challenge Rules.

Please note: All potential Winner's Affidavit must be received by CBSI with their current Gov. ID no later than January 31, 2021.



4. Legal Disclaimers
All participants agree to abide by the terms of these Official Rules and the legal disclaimers below, and by the decisions of CBSI, which are final and binding on all matters pertaining to the Challenge.

General Conditions
By entering, each entrant accepts and agrees to be bound by these rules and by the decisions of CBSI, which shall be final and binding in all respects. Further, each entrant also acknowledges and agrees to the CBS Interactive Inc. Terms of Use and Privacy Policy, incorporated herein by reference. Any and all taxes, if any, in relation to acceptance of a Prize are the sole responsibility of each Winner. No substitution or transfer of a Prize is permitted except by CBSI. CBSI reserves the right to substitute a Prize for one of equal or greater value.

Except where prohibited by law, a Winner's acceptance of a Prize constitutes permission for the Challenge Entities to use Winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation. Entrants agree to CBSI's use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

All federal, state, local regulations apply.

CBSI is not responsible for lost, late or misdirected online entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions. CBSI reserves the right to halt or modify the Challenge at any time during the Challenge Period, if events beyond their control compromise the Challenge fairness or integrity. In the event that all scheduled games during a Weekly Period are cancelled for any reason, no points or Prize(s) will be awarded for that week.

CBSI is not responsible for typographical or other human, technical or other errors in the offer or administration of this Challenge, including but not limited to, errors in advertising, the Official Rules, the selection and announcement of a Winner or the distribution of a Prize.

CBSI, in its sole discretion, may disqualify any entrant from participating in the Challenge, refuse to award points or a Prize, and require the return of a Prize, if entrant engages in any conduct CBSI deems to be improper, unfair or otherwise adverse to the operation of the Challenge or detrimental to other entrants. Such improper conduct includes, but is not limited to, falsifying personal information required during Challenge registration or Prize claim, violating any term or condition stated herein, accumulating points or a Prize through methods such as automated computer scripts or other programming techniques, allowing others to use the entrant's personal information for the purpose of accumulating points or a Prize, tampering with CBSI's administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this website. Winner(s) further acknowledge(s) that the forfeiture of a Prize and/or return of a Prize shall in no way prevent CBSI from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

CBSI reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Challenge. This Challenge is not affiliated with or endorsed by the NFL or any NFL team. This Challenge is designed to entertain and increase consumer awareness of, and interest in CBSSports.com.

Rules/Winner's Information
For the name of the Winners, send a self-addressed and stamped envelope for receipt by February 28, 2021 to "Winners list: 2020 CBSSports.com Parlay Pick'em Challenge" c/o CBS Interactive Inc., 1401 W. Cypress Creek Rd., Suite 200, Fort Lauderdale, FL 33309.

For a copy of the Official Rules, send a self-addressed and stamped envelope to the above address marked "Official Rules: 2020 CBSSports.com Parlay Pick'em Challenge" for receipt by January 4, 2021. Residents from VT may omit postage on the self-addressed envelope.

Internet
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of CBSI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Challenge, CBSI reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Challenge. In such event, CBSI further reserves the right to award the Season Long Prize to the participant with the highest Season Long Score (tiebreakers apply) from all eligible participants in the Challenge as of termination date.

CBSI assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. CBSI is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Challenge.

Lost or Corrupted Entries
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage-due entries or mail (if applicable); or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Challenge Entities and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Challenge, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Challenge.

Damaged Property
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person's computer or property related to or resulting from participating in this Challenge or downloading materials from this Challenge.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, CBSI RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any Entry that is incomplete, late, or does not include a validly issued ID will be disqualified.

In the event that the Challenge is challenged by any legal or regulatory authority, CBSI reserves the right to discontinue or modify the Challenge, or to disqualify participants residing in the affected geographic areas. In such event, CBSI shall have no liability to any participants who are disqualified due to such an action.

Challenge Errors
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Challenge; (b) in any related advertising or promotions of this Challenge; and/or (c) in these Official Rules including but not limited to errors in advertising, the Official Rules, the selection and announcement of the Winner(s) or the distribution of the Prize(s). In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Challenge.

Winners and Prizes
The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of a Winner, the distribution of the Prizes, the acceptance/possession and/or use/misuse of any part of a Prize and/or any injury or damage to any entrant's or third person's property related to or resulting from any part of a Prize or any part of this Challenge.

Release and Indemnity
Each entrant in the Challenge, including, without limitation, the Winners, hereby releases and agrees to hold harmless the Challenge Entities and their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a Prize, participation in this Challenge and participation in any activity related to this Challenge.

Limitation of Liability and Disclaimer of Warranties
IN NO EVENT WILL THE CHALLENGE ENTITIES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE CHALLENGE, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE CHALLENGE. IN NO EVENT SHALL CBSI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS (US$100.00). WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE CHALLENGE AND THE SERVICE INCLUDING THE PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

Binding Arbitration
The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Challenge. Any controversy or claim arising out of or relating to these Official Rules and/or the Challenge shall be settled by binding arbitration in accordance with the commercial arbitration rules of JAMS in accordance with the JAMS Comprehensive Arbitration Rules and Procedures, as modified by the JAMS Consumer Arbitration Minimum Standards. Class arbitrations and class actions are not permitted under any circumstances. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, in the City of San Francisco.

Governing Law and Jurisdiction
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. FOR ANY MATTERS WHICH ARE NOT SUBJECT TO ARBITRATION AS SET FORTH IN THESE OFFICIAL RULES AND/OR IN CONNECTION WITH THE ENTERING OF ANY JUDGMENT ON AN ARBITRATION AWARD IN CONNECTION WITH THESE OFFICIAL RULES AND/OR THE CHALLENGE, THE PARTIES IRREVOCABLY SUBMIT AND CONSENT TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE CALIFORNIA STATE AND FEDERAL COURTS LOCATED IN THE CITY OF SAN FRANCISCO, AND STATE OF CALIFORNIA. THE PARTIES AGREE NOT TO RAISE THE DEFENSE OF FORUM NON CONVENIENS.
