1. Introduction


2019 CBSSports.com Playoff Pick'em Challenge
Welcome to the 2019 CBSSports.com Playoff Pick'em Challenge (the "Playoff Pick'em Challenge"), where you compete against other participants to see who can correctly predict the outcomes of selected National Football League ("NFL") games. The Playoff Pick'em Challenge starts December 17, 2019 and ends February 2, 2020 (the "Challenge Period").

No Cost
The Playoff Pick'em Challenge is FREE to play. No purchase, wireless device or entry fee necessary to enter or win. If you are accessing this Playoff Pick'em Challenge via your wireless device, data rates may apply.

IMPORTANT NOTICE: THIS CONTEST IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED BELOW.

The Administrator
CBSI will serve as the administrator (the "Administrator") of the Playoff Pick'em Challenge and will be responsible for resolving any disputes that arise regarding violations of the rules.

Eligibility
The Playoff Pick'em Challenge is open to persons who are: (a) Registered Users (as defined below); (b) legal permanent residents of the United States or Canada (excluding Quebec); and (c) at least eighteen (18) years old or age of majority, whichever is older in state of residence, at the date of registration in the Playoff Pick'em Challenge. For purposes of clarity, persons who reside in Puerto Rico are expressly excluded from this Playoff Pick'em Challenge. Void where prohibited by law.

For purposes of these Official Rules, "Registered User" means a person who has successfully completed the registration form and has obtained a user identification ("ID") and associated password ("Password") on one of the CBSI's network of websites, which currently includes CBSSports.com and/or SportsLine.com.

If you are not a Registered User, you may become a Registered User and obtain an ID and a Password by completing the CBSSports.com registration form. There is no fee or charge to become a Registered User.

Employees of SportsHub Games Network, CBSI and CBS Broadcasting Inc. and each of their parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies (collectively the "Challenge Entities"), and members of the immediate family or household of each are not eligible to win. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee of the Challenge Entities. Void where prohibited by law. Such excluded employees and/or family members may play, but WILL NOT be eligible to win a Prize (as defined below).

Note: Professional and/or NFL football players, team owners, management and personnel; professional sports agents; referees; and league employees who play/work in the United States, are not eligible to play in this Playoff Pick'em Challenge, as well as, employees of (i) an operator of a fantasy sports website offering paid contests or (ii) a sports betting operator.


2. Playing


Signing Up
Registered Users can sign up any time, during the Playoff Pick'em Challenge Period, by visiting the CBSSports.com Playoff Pick'em Challenge page accessible at http://www.cbssports.com/fantasy/games/football/playoff-pickem-pool (the "CBSI Site") and follow the onscreen instructions in order to enter. To enter the Playoff Pick'em Challenge, participant will have to provide their personal information and their pick(s) of the NFL team(s) they predict will win their applicable NFL game match-up. Participants may only enter the Playoff Pick'em Challenge once per person, during the Challenge Period.

Making Picks
The Playoff Pick'em Challenge will run for the four weeks of the NFL playoffs. The Administrator will list selected scheduled NFL games on the CBSI Site for each weekly playoff period (each, a "Round"). You may pick the team you predict will win each game, in a Round. Once playoff teams are official, Round 1 (Wild Card Round) will become available for users to select their pick on or around December 30, 2019.

Scoring
Based on the official NFL seeding designations for each playoff team, at the start of the playoffs, teams will be assigned a seed number (by the NFL) ranging from 1-6. Participants will accrue points for picking the winning team of each game, during a Round. The accrued points will be equivalent to the seed number assigned to the team picked by Participant. For example, if teams A and B are playing in Round 1, team A is a 3 seed and team B is a 6 seed, you select either of those teams to win; if team A wins, you would receive 3 points for correctly selecting team A or if team B wins, 6 points for correctly selecting team B.

For the three subsequent Rounds, seeding points will be multiplied by the Round number to get the total points earned from each match-up. The Round multiplier are shown in the table below:

For example, if team A is seeded #3 and team A wins each Round, 3 points will be accrued for the Wild Card Round (3x1), 6 points will be earned for the Divisional Round (3x2), 9 points will be earned for the Conference Round (3x3) and 12 points will be earned for the Championship Round (3x4). For a total overall score of 30 points accrued in the Challenge.

For clarity, the seed number of the winning team multiplied by the Round number will be the participant's score for each Round. The sum of all points accrued for the duration of the Challenge Period will be the participant's total overall score.

Deadlines
You may sign up to play in the Playoff Pick'em Challenge at any point during the NFL playoffs, up to five minutes prior to the announced time for the first kickoff of the Championship Round. The deadline for each participant to submit their picks for any Round is five minutes before the announced time of the start of the last scheduled NFL game in that Round. Games will be posted for participants to pick starting no later than at 10:00 am Eastern Time ("ET") on Tuesdays, during the Challenge Period.

General Sportsmanship
By participating, you agree to abide by the general sportsmanship and fairness rules set forth in these rules and fantasy games in general. You further agree to accept and abide by the rulings and the decisions of CBSI regarding all questions of sportsmanship and fairness. If a participant does not comply with the sportsmanship and fairness rules as embodied in these Official Rules, or CBSI determines (in CBSI's sole discretion) that a participant has acted in an unsportsmanlike or unfair manner, CBSI reserves the right to disqualify the participant and/or remove that participant from the Playoff Pick'em Challenge. All decisions by CBSI in sportsmanship and fairness related matters will be final.


3. Prize


The eligible participant who earns the greatest number of points throughout the Challenge will be declared the Winner. (tie-breakers apply). One (1) Prize will be awarded in accordance with this Official Rules. The Prize consists of Five Thousand Dollars (US$5,000.00) which will be awarded in the form of a check or as otherwise decided by CBSI in its sole discretion.

Tiebreaker
If two or more participants are tied at the conclusion of the Challenge Period, the eligible participant from among the tied participants whose prediction of the total points scored by the AFC Team, in the NFL Championship Game to be held on February 2, 2020, is closest to the actual points scored by the AFC Teamwill be deemed the Winner. If there is still a tie, the participant from among the tied participants whose prediction of the total points scored by the NFC Team in the NFL Championship Game is closest to the actual total scored by the NFC Team will be deemed the Winner. If there is still a tie, the participant from among the tied participant whose prediction of the Net total combined offensive yards (Net Rushing + Net Passing) from both AFC and NFC teams is closest to the actual net combined offensive yards will be deemed the winner. If a tie remains, the Prize will be equally split among tied participants. Please note: any participant that fails to enter a tie-breaker value for the Challenge, will not be eligible for tie-breaker consideration.

Prize Notification
The potential Winner will be notified via email within fourteen (14) days from the end of the 2020 NFL Championship Game. Winner will be required to agree to the CBS Interactive Wallet Terms of Use prior to participating and/or claiming their Prize. If Winner resides in the United State are required to agree to the CBS Interactive Wallet Terms of Use prior to participating and/or claiming their Prize. Any potential Prize Winner, who is a resident of Canada may be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question administered online or offline in order to be declared a Winner. If a Winner resides in Canada will be asked to complete and submit the affidavit manually. Instruction for how to proceed manually will be outlined in the Winner notification email. The Winner will need to complete and submit to CBSI an Affidavit of Eligibility and release (the "Affidavit") and a W-9 or E-8 where applicable. Such Affidavit must include Winner's social security number (or social issuance number, if a resident of Canada) and include a copy of their current driver's license or current government issued ID ("Gov. ID") when submitting their Affidavit. By completing such Affidavit, it will be understood that Winner has complied with the Contest Rules.

Please note: Such Affidavit must be received by CBSI with their current Gov. ID no later than March 31, 2020.

In the event the Winner is deemed ineligible and/or does not claim their Prize by dates specified herein, an alternate Winner may be selected in accordance with these Official Rules. Only one attempt for a new alternate will be conducted. If attempt fails, the Prize will be forfeited, and will not be awarded.


4. Legal Disclaimers


All participants agree to abide by the terms of these Official Rules and the legal disclaimers below, and by the decisions of CBSI, which are final and binding on all matters pertaining to the Playoff Pick'em Challenge.

General Conditions
By entering, each entrant accepts and agrees to be bound by these rules and by the decisions of CBSI, which shall be final and binding in all respects. Further, each entrant also acknowledges and agrees to the CBS Interactive Inc. Terms of Use and Privacy Policy.

All federal, state, local, and provincial laws and regulations apply.

CBSI is not responsible for lost, late or misdirected online entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a contestant, equipment, or technical malfunction or for any human error, technical error or malfunctions. CBSI reserves the right to halt or modify the Playoff Pick'em Challenge at any time during the Playoff Pick'em Challenge Period, if events beyond their control compromise the Playoff Pick'em Challenge fairness or integrity. In the event that a scheduled NFL game is canceled or preempted for any reason, no points will be awarded for that week and/or for picks of the affected NFL teams.

CBSI is not responsible for typographical or other human or technical errors in the offer or administration of this Playoff Pick'em Challenge, including but not limited to, errors in advertising or the Official Rules.

CBSI, in its sole discretion, may disqualify any entrant from participating in the Playoff Pick'em Challenge if entrant engages in any conduct CBSI deems to be improper, unfair or otherwise adverse to the operation of the Playoff Pick'em Challenge or detrimental to other entrants. Such improper conduct includes, but is not limited to, falsifying personal information required during Playoff Pick'em Challenge registration, violating any term or condition stated herein, accumulating points through methods such as automated computer scripts or other programming techniques, allowing others to use the entrant's personal information for the purpose of accumulating points, tampering with CBSI's administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this website.

CBSI reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Playoff Pick'em Challenge. This Playoff Pick'em Challenge is not affiliated with or endorsed by the NFL or any NFL team. This is a skill game designed to entertain and increase consumer awareness of, and interest in CBSSports.com.

This Playoff Pick'em Challenge may not be used for any form of gambling, betting or wagering.

Rules/Winner Information
For a copy of the Official Rules, send a self-addressed and stamped envelope to the above address marked "Official Rules: CBSSports.com Playoff Pick'emChallenge," for receipt by February 8, 2020. Residents from VT may omit postage on the self-addressed envelope.

Internet
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of CBSI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Playoff Pick'em Challenge, CBSI reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Playoff Pick'em Challenge.

CBSI assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. CBSI is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Playoff Pick'em Challenge.

Lost or Corrupted Entries
The Playoff Pick'em Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage-due entries or mail (if applicable); or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Playoff Pick'em Challenge Entities and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Playoff Pick'em Challenge, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Playoff Pick'em Challenge.

Damaged Property
The Playoff Pick'em Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person's computer or property related to or resulting from participating in this Playoff Pick'em Challenge or downloading materials from this Playoff Pick'em Challenge.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PLAYOFF PICK'EM CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, CBSI RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any Entry that is incomplete, late, or does not include a validly issued ID will be disqualified.

In the event that the Playoff Pick'em Challenge is Playoff Pick'em Challenged by any legal or regulatory authority, CBSI reserves the right to discontinue or modify the Playoff Pick'em Challenge, or to disqualify participants residing in the affected geographic areas. In such event, CBSI shall have no liability to any participants who are disqualified due to such an action.

Playoff Pick'em Challenge Errors
The Playoff Pick'em Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Playoff Pick'em Challenge; (b) in any related advertising or promotions of this Playoff Pick'em Challenge; and/or (c) in these Official Rules including but not limited to errors in advertising and the Official Rules In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Playoff Pick'em Challenge.

Release and Indemnity
Each entrant in the Playoff Pick'em Challenge hereby releases and agrees to hold harmless the Playoff Pick'em Challenge Entities and their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, participation in this Playoff Pick'em Challenge and participation in any activity related to this Playoff Pick'em Challenge.

Limitation of Liability and Disclaimer of Warranties
IN NO EVENT WILL THE PLAYOFF PICK'EM CHALLENGE ENTITIES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE PLAYOFF PICK'EM CHALLENGE, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE PLAYOFF PICK'EM CHALLENGE. IN NO EVENT SHALL CBSI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS (US$100.00). WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE PLAYOFF PICK'EM CHALLENGE AND THE SERVICE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

Binding Arbitration
The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Playoff Pick'em Challenge. Any controversy or claim arising out of or relating to these Official Rules and/or the Playoff Pick'em Challenge, shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, in the City of San Francisco.

Governing Law and Jurisdiction
THIS CHALLENGE IS GOVERNED BY AND SUBJECT TO ALL APPLICABLE LAWS AND REGULATIONS (FEDERAL, STATE, LOCAL, AND PROVINCIAL) FROM WHERE THIS CHALLENGE IS OPEN TO. IN THE EVENT OF CONFLICT, THE LAWS OF THE U.S.A. WILL GOVERN. VOID WHERE PROHIBITED BY LAW. THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. FOR ANY MATTERS WHICH ARE NOT SUBJECT TO ARBITRATION AS SET FORTH IN THESE OFFICIAL RULES AND/OR IN CONNECTION WITH THE ENTERING OF ANY JUDGMENT ON AN ARBITRATION AWARD IN CONNECTION WITH THESE OFFICIAL RULES AND/OR THE PLAYOFF PICK'EM CHALLENGE, THE PARTIES IRREVOCABLY SUBMIT AND CONSENT TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE CALIFORNIA STATE AND FEDERAL COURTS LOCATED IN THE CITY OF SAN FRANCISCO, AND STATE OF CALIFORNIA. THE PARTIES AGREE NOT TO RAISE THE DEFENSE OF FORUM NON CONVENIENS.
