1. Introduction


2025-26 CBSSports.com Free Fantasy Hockey
Welcome to the 2025 CBSSports.com Free Fantasy Hockey Leagues ("Free Fantasy Hockey"), where you can start your own twelve(12) team Fantasy Hockey league (each a, "League" and collectively the, "Leagues"), or join an existing League. You can play in a Rotisserie or Head to Head League. No matter what your skill level, you will find that there are a variety of Leagues from which you may choose to participate. Most Leagues include one sentence describing the type of player the League is looking to recruit (e.g., "experts," "beginners," "Panthers fans," etc.) so you should have no trouble finding the right League for you. The rules for Free Fantasy Hockey are explained fully in this document. If you'd rather make your own rules than play by ours, check out CBSSports.com' Hockey Commissioner service. Now, get ready to play ball!

Free Fantasy Hockey takes place on " CBSSports.com Platforms," which includes the website located at the domain cbssports.com and the mobile apps CBS Sports App, and CBS Sports Fantasy, as well as any other websites or apps as determined in the sole and exclusive discretion of CBSI. "Registered User" means a person who has successfully completed the registration form and has obtained a User Identification ("ID") and associated password ("Password") on one of the CBSI network of sports and entertainment websites or apps, which includes but is not limited to the following: CBSSports.com, SportsLine.com and StarTrek.com. There is no charge or payment to become a Registered User.

The Commissioner
The Commissioner of a League is responsible for coordinating and managing the League. CBS Interactive Inc. ("CBSI") will serve as the Commissioner for all Leagues and will be solely responsible for resolving any disputes that arise regarding unbalanced trades, alleged rules violations or anything else.

Due to any unforeseen circumstances, including, without limitation, any game(s) cancellation, the absence of game(s) statistics, a pandemic (e.g. Covid-19) and/or any other circumstances, CBSI may in its sole discretion make material changes to Free Fantasy Hockey, including, without limitation, canceling the Free Fantasy Hockey service and/or concluding it early. If such changes are necessary, they will be noted in these Terms and/or your League homepage.


2. Leagues


Signing Up
The "Period" means the period of time between August 19, 2025 and April 16, 2026. You may sign up to participate in Free Fantasy Hockey between the start of the Period and 11:59:59 PM ET on January 13, 2026 (the "Signup Deadline"). The "Playing Period" means the period of time commencing on October 7, 2025 and ending on April 16, 2026 and corresponds to the National Hockey League ("NHL") regular season. It is free to play and participate in Free Fantasy Hockey.

In the event of a change to the start or end date of the NHL regular season, the dates of the Playing Period may change to correspond to the NHL regular season at CBSI's sole and exclusive discretion.

NOTE: You may sign up, to play, up to five (5) times (to avoid confusion you can create up to five (5) teams to play) during the Period. If you create multiple teams, each team must be in a different League. Limit of 5 entries per person for the duration of the Period.

If you are not a Registered User of CBSSports.com Platforms, you will be prompted to register prior to signing up for Free Fantasy Hockey. There is no cost associated with registration. As previously noted, we will provide a list of available Leagues for you to choose from after you sign up. By registering and participating in Free Fantasy Hockey, you agree to comply with these Terms.

Eligibility
Free Fantasy Hockey is open to persons who are: (a) Registered Users; (b) legal residents of the United States (c) twenty-one (21) years of age or older, at the date of registration.


3. Draft


Live Draft Leagues or Automated Draft Leagues
You will acquire players for your team within a League through a draft. Each League will be set at its creation to either "Live Draft" or an "Automated Draft." You can choose to join or create a Live Draft League or an Automated Draft League. During a Live Draft, the League participants (each a "Manager") can log in to an online "draft room" at the scheduled time, which will be designated by CBSI for each League. Each Manager, in draft order, has ninety (90) seconds to select an available NHL player for his or her team. If the Manager does not make a selection, then it will be determined for them by the same selection process used for an Automated Draft League, described below. This kind of draft is exciting but extremely fast-paced and recommended for experienced managers. See 'Live Draft Instructions' section below.

If you are a beginner or are unable to schedule a block of two (2) to four (4) hours for a live draft, you may prefer to participate in an Automated Draft League. After joining the League and at least twenty-four (24) hours prior to the day of the draft, you may simply arrange players, using the "Rank Lists" provided by CBSI, in the order that you'd like those players selected for your team. The Automated Draft is then processed the morning of the scheduled draft day using your lists. The highest-ranked player on your lists who is available, and fits the roster needs of your team, will be selected for you during each round of the automated draft. See 'Automated Draft Instructions' section below.

Scoring Systems
You may choose when creating a League one of two different scoring systems — Rotisserie (a.k.a. Roto) or one weekly Head-to-Head points-based system. More information can be found in the Sections 5-7 below.

Private Leagues or Public Leagues
If you know all of the Managers who are going to be in your League, or you want to recruit specific individuals and/or friends, you may want to join or create a "Private League". The person who creates a Private League sets a password and other Managers use that password to join the league. However, please keep in mind that the creator of a League will not have the ability to control any other League functions. If you already know all of the Managers in your League and want complete control of your League's rules, you should also check out the CBSSports.com Hockey Commissioner product, our powerful and fully-customizable stats service.

"Public Leagues" are open to all eligible participants. If you create or join a Public League, you will have no control over who joins the League. Be sure to read the description of the League you want to join to make sure it is suitable for you.

Winners Leagues
If you played a CBSI website League (excluding Commissioner Leagues) in a previous year and won your League, you may be eligible to play in an exclusive "Winners League". To create or join a Winners League, you must use the same CBSI website ID you used when you won your League.

League Joining Deadline
After you become a Registered User, you may sign up and join a League at any time up to the Signup Deadline. All Leagues are required to have ten (10) Managers. Opening day of the NHL regular season is set for October 7, 2025. In order for your League's fantasy season to start with opening day of the NHL season, you must be signed up and your draft started by 11:59 PM ET on October 6, 2025.

Live Draft Instructions
After you join or create a Live Draft League, you will have the opportunity to make changes to the default Rank List, which is a list of all NHL players that are eligible to be drafted, ranked from best to worst by the CBSSports.com Fantasy experts.

It is recommended that, prior to your draft, you organize the Rank List according to your own player preferences. However, you are welcome to leave the Rank List in the order our experts have provided. During the live draft, your Rank List will be used in the event your time limit expires before you make a pick (explained below).

On draft day, there will be a "Draft Room" button available on your League home page. This link may also be available in the Draft Central page of your League. This link will allow entry into the draft room. During the Live Draft, each team will have ninety (90) seconds to select an NHL player. The order of the draft will be randomly generated between midnight and 6:00 AM ET either the day of, or the day before the draft, or for same day drafts once your League aggregates and no later than five (5) minutes prior to the draft date and time. If your League has the mandatory ten (10) Managers as of approximately forty-eight (48) hours prior to your scheduled draft date, the League will aggregate and generate a draft order. If not, your League will receive an e-mail explaining that you must have ten (10) Managers as of five (5) minutes prior to your draft date and time. Within approximately twelve (12) to twenty-four (24) hours of your scheduled draft time, your League will be moved into the same day draft option to help fill the league prior to the draft time. If your League does not have ten (10) Managers as of five (5) minutes prior to the draft date and time, your League will be disbanded, and each Manager will have to join or create another League.

In the draft room, you will be able to place NHL players into a Draft Queue — which is simply a list of players, in order of priority, that you are interested in taking with your next draft pick. When it is your turn to pick, you will have ninety (90) seconds to draft a player. If the ninety (90) seconds pass and you have not manually selected a player, the player ranked highest in your Draft Queue will be automatically drafted. If the Draft Queue is empty, a pick will then be made from your Rank List. In such a case, the highest rated player from the Rank List will be drafted unless that position is filled — in which case the next best available option, at the next highest Ranked position list, will be drafted. The draft order will "snake" at the end of each round, meaning that the team with the last pick in the current round will have the first pick in the next round.

Waiver priority immediately after the draft will be the reverse order of the first round of the draft. So, Team #12 will have the highest waiver priority and Team #1 the lowest waiver priority.

Automated Draft Instructions
As with a Live Draft, after creating or joining an Automated Draft League, you will have the opportunity to rank all the eligible NHL players.

As in the Live Draft, you are not required to make changes to our Rank Lists; if you choose not to, our default Rank Lists, which reflect the rankings of our Fantasy experts, will be used. However, if you decide to organize the Rank Lists yourself, you will have up to twenty-four (24) hours prior to your draft day to do so. When there are twenty-four (24) hours left until your draft day, the Rank Lists will be closed and cannot be revised.

On the morning of the scheduled draft day, your League's draft order will be randomly generated, and an Automated Draft will be conducted. Players will automatically be drafted for you using your personalized Rank Lists. If a personalized Rank List hasn't been created, players will automatically be drafted for you using the CBSSports.com default rankings. An e-mail will be sent to each Manager after the draft has been completed.

Please refer to the table below for the full breakdown of the rounds of the draft. You'll see that the order staggers each round of the draft (team #1 has the first pick in round 1; team #4 has the first pick in round 2, etc.) so that each team will have the opportunity to draft 1st in a round at least once.

Waiver priority immediately after the draft will be the reverse order of the first round of the draft. So, team #12 will have the highest waiver priority and team #1 the lowest waiver priority.


4. Teams


Overview
There are two (2) League styles: Rotisserie and Head-to-Head. Each League will have a total of twelve (12) teams. Each Head-to-Head style League will be randomly divided into three (3) divisions of four (4) teams each. There are no divisions in Rotisserie Leagues. Rosters in both styles of Leagues will consist of 16 NHL players (NOTE: all players drafted into a team may not play for the same NHL team). Managers may select a starting lineup each week from these 16 players. The chart below lists the required number of players at each position for the ‘starting lineup' and the ‘draft'.

Please note that, throughout the season, your overall roster is not restricted to a specific number of players at each position. Once the draft is over, you can carry, in reserve, as many or as few players at each position as you like, as long as your overall roster does not exceed 16 players.

During the draft, players are drafted at the position they are listed under in our database, regardless of whether that player plays multiple positions.



5. Head-to-Head Scoring


Point Values
Each week, your team will compete against another team in your League in a head-to-head matchup. During a matchup, each of the players in your starting lineup ("active players") for that week will earn points based on actual statistics from NHL games. The charts below list the statistics and their point values.

Each NHL player's points will be averaged based on the number of games he played during the Scoring Period. For example, if Connor McDavid scores 15 Fantasy points in 3 games, 5 points will be contributed to the team score.

Wins & Losses
For each head-to-head matchup, the team with the greater number of points will earn a Win and the team with the lesser number will earn a Loss. During the regular season, if two teams have the same number of points, each team will get a Tie.

During the playoffs, there are no ties. In the event of tie, the team with the better tiebreaker total will earn the win. The tiebreaker is computed as follows:
  • Goals Scored minus Goals Allowed.
  • In the event that a tie remains, the Win will be awarded to the home team.

Statistics Corrections
Your League's pages will be updated to reflect official NHL statistics corrections that occur up to seven (7) days after the game has been completed. For example, for a Saturday game, the official scoring change would have to be made by the following Saturday to be included in our statistics. If the change is made any later, it will not be included in our statistics and your official fantasy scoring will be based on the original statistic. The final week of the fantasy regular season as well as throughout the fantasy playoffs, statistics will be final on the Monday morning, at 6 a.m. Eastern Time ("ET"), after the Weekly Scoring period has concluded.

Please note: at the completion of the last game of the Fantasy Regular Season (as defined below), all statistics are considered Final. Once playoff teams are announced, any statistics corrections that impact the Fantasy regular season will not be included.


6. Schedule & Playoffs (for HEAD-TO-HEAD Leagues only)


Regular Season
The NHL season runs for 26 weeks, including the 3-week Olympic Period from 10/7/25 through 4/16/26 which coincides with the Playing Period. Rotisserie style Leagues will run the entire Playing period and there are no playoffs. This Schedule & Playoffs section applies only to Head-to-Head style Leagues. Free Fantasy Hockey scoring will begin on opening day, October 7, 2025. Each period of time running Monday through Sunday, during the Playing Period, represents a scoring period (each, a "Scoring Period") for Free Fantasy Hockey; since the Playing Period begins on a Tuesday, the first Scoring Period will run from Tuesday, 10/7/25 through the following Sunday 10/12/25. Due to the limited number of NHL games, the 3-week Olympics Period will run from Monday, 2/9/26 through Sunday 3/1/26 and the final period will run from Monday, 4/13/26 to Thursday, 4/16/26.

For Head-to-Head ("H-t-H") Leagues, the Playing Period is divided into two (2) separate periods, the "H-t-H Regular Period" and the "H-t-H Playoff Period." The H-t-H Regular Period will run for twenty-four (24) periods from October 7, 2025 through April 5, 2026. The H-t-H Playoff Period will run for two (2) weeks, from April 6, 2026 to April 16, 2026 . During such H-t-H Regular period, each team will play in twenty-four (24) Weekly (Monday-Sunday) Head-to-Head matchups.

Playoffs
When the Fantasy Regular Season ends, 4 teams from the league will make the playoffs: the 3 division leaders (the team with the best win/loss record in each division) and a wildcard team, which is the team with the best win/loss record in the league, excluding the 3 division leaders.

The division leader with the best record going into the playoffs will be the #1 seed, and the #1 seed will play the wildcard (seed #4) in the first playoff match to coincide with the NHL Season week 25. The other division leaders will be seeded #2 and #3, and will also face each other in week 25.

If there is a tie for the order of playoff seeds, the following tie-breakers will be used.

  1. Year-To-Date ("YTD") Points Scored
  2. YTD Points Against

Note: YTD Points Against is determined by the competitor that has the highest YTD Points Against Total.

Each playoff matchup will run from Monday-Sunday during the H-t-H Playoff Period.

In the event of tie in a playoff matchup, the team with the higher seed position will win the matchup. For example, seed #1 seed vs #4 matchup tie, seed #1 would advance.

For teams that do not qualify for the playoffs, the season will effectively end. No further add/drop transactions will be permitted for any team that does not make the playoffs, or for any team that is eliminated from the playoffs.

7. Rotisserie Scoring


Categories
In our Rotisserie scoring system, each team will be ranked against the other 11 teams in 10 different categories. The team with the highest rank in a category will receive 12 points (based on the number of teams) for that category, the second best 11, and so on. The team with the lowest rank in a category will receive 1 point for that category. The sum of the points for each category will determine a team's score. The following categories will be used:

Notes:
All statistics for goalies will count, including goals and assists.

Each team's goalies must accumulate a combined total of at least 82 games played over the course of the season or it will be placed in last place in the Goalie Save Percentage and Goals Against Average categories. All leagues that begin after October 17, 2025 will use 40 as the minimum.

There will be no tie-breaker to determine Rotisserie league champions.


8. Lineup Changes

Weekly Lineups
Free Fantasy Hockey uses weekly lineups for all Leagues. A week runs from Monday's games through Sunday's games (with the exception of Week 1, which runs from Tuesday to Sunday and the Week 17 All-Star Period which takes place from 7/14-7/27) and, once a week begins, lineups can't be changed for that week. Each week, Managers have the opportunity to select their starting lineup for the upcoming week. If a Manager does not set a lineup for a particular week, the Manager's lineup from the previous week will be used. If a Manager has an Illegal lineup (it does not comply with these Terms), their team will score zero points for the scoring period.

Weekly Lineup Setting Deadline
The deadline for setting your lineup is five (5) minutes before the first NHL game in which each individual NHL player in your fantasy team is scheduled to play for the applicable weekly period. For clarity, if a NHL player does not have a scheduled game on Monday, that player will remain unlocked until five (5) minutes prior to the scheduled time such NHL player's team plays their first NHL game. Please note that player involved in a delayed or postponed game will lock at the originally scheduled lock time.


9. Adding and Dropping Players


Overview
Throughout the season, you may want to improve your roster by adding available Free Agents and dropping players that aren't performing to your expectations. With only two (2) exceptions, there are no limits to the number of Add/Drops you can request, nor are there any transaction fees.

  1. The first exception is when a Manager drops his entire team or a significant number of players, also known as "team dropping". Team dropping has a negative impact on the League and as such, any Manager who elects to drop his team shall be subject to immediate removal from the League. Players selected from waivers or added from free agency that were part of a team drop may be reversed at CBSI's discretion. In such move reversals, the waiver ranks will not be reset. Free Fantasy Hockey uses weekly lineups, so any changes made may go into effect for the following week's games.
  2. The second exception is abuse of the waiver process. This is when a Manager adds then drops a series of players, putting those players on waivers and making them inaccessible to other Managers. Such an action could result in forfeiture of points as well as that Manager being blocked from making any additional add/drops for the remainder of the season, in some cases dismissal from the League as determined solely by CBSI.

If either of these situations occurs within your League, please contact CBSI through the Help Center as soon as possible. All decisions regarding enforcement of the exceptions to unlimited Add/Drops will be made by CBSI in its sole and exclusive discretion.

Free Agents
Any player not on any other team's Fantasy roster and not on Waivers (discussed below) is considered a free agent ("Free Agent"). In Head-to-Head Leagues, requests for Free Agents are effective for the following week's games. For example, if a Manager adds a Free Agent and drops a player on Wednesday, the roster is instantly updated for the following week, but the "pre-Add/Drop" roster is still in effect for the remainder of the current week's games. The deadline for submitting a Free Agent request is thirty (30) minutes before the first game of the scoring period in order to have the transaction effective for that week.

Waivers
In order to provide an equal opportunity for all Managers to add players that are new to the Free Agent pool, a Waivers process is used. Managers' requests to add players on waivers are not executed immediately but are put in a pending status for at least twenty-four (24) hours. This allows multiple teams to request the same players. Every night between midnight and 6:00AM ET a Waivers process will be run, executing the pending requests in "Waiver Rank" order (explained below). All transactions during the waiver process are effective for the next scoring period.

Waiver Rank
As stated, during the waiver process, pending transactions are processed in Waiver Rank order. The team with a Waiver Rank of one (1), considered the hign "Waiver Rank" order (explained below). All transactions during the waiver process are effective for the next scorhest, will get its first requested player. After the transaction is executed, the team's Waiver Rank is then set to ten (10) (last), and all other teams move up by one (1). The initial Waiver Rank of the season is based on the reverse order of the draft. The team that selected last in the first round of the draft will have a waiver rank of one (1).

If a team's highest pending transaction becomes invalid because another team received the requested player, the transaction gets deleted and the team's next transaction, if one exists, becomes that team's highest. If a team doesn't have any pending transactions because all players requested were taken by other teams, or the Manager simply didn't request any players, there isn't any penalty and the team's Waiver Rank will not be changed.

Undroppable Players
To maintain the integrity of your League, you will be prevented from dropping certain star NHL players throughout the season. CBSI, as commissioner of all CBSSports.com Fantasy Hockey Leagues, will decide - in its sole and exclusive discretion - which NHL players are undroppable. If there are players we've deemed undroppable on your roster, they will not be displayed on the Transactions, Add/Drop page. You may appeal to CBSI for permission to drop an undroppable player; however, CBSI will make the final decision on all undroppable player requests in its sole and exclusive discretion. Appeals can be sent via the Help Center page and should include the names of the players you want to add and drop.


10. Trades


Trade Approvals
In an effort to prevent collusion among Managers, and to ensure fair competition, a trade voting and approval process is used. After a trade is accepted by the system, it will enter the voting process that will last for at least one (1) full calendar day (the "Voting Period"). If four (4) Managers in your League object to the trade within the Voting Period, the trade will not be immediately executed, and instead go to the Commissioner for approval. The Commissioner will review such objected trades in a timely manner and decide if such trades are to be executed or rejected; the Commissioner decisions are final. Trades made on Saturdays, which four (4) or more Managers object to, may NOT be effective for the upcoming play period, as these are now subject to Commissioner approval.

If four (4) Managers do not object before the Voting Period is up, then your trade will be processed overnight. As an example, a trade made at 5 P.M. ET Tuesday will not execute at 5 P.M. ET Wednesday but will be processed between midnight and 5 AM ET Thursday morning, to allow for the Voting Period to conclude. Therefore, all trades must be made (i.e., accepted by both parties involved and without objection from at least 4 other Managers) prior to 11:59 PM ET each Saturday night to be effective for the following week. However, please note, that trades that do not meet the necessary number of objections are still subject to review by the Commissioner, to determine fairness principles are followed and to keep the integrity of the league. Any trade reviews and determinations by the Commissioner are final.

Trades that go to Commissioner for approval on Monday will be processed after the lineup locks on Monday. Please always check your team Monday morning.

Multi-Player Trades
Managers can enter unbalanced multi-player trades such as trading three (3) players for one (1) player. However, the maximum roster size (and the position restrictions) will ultimately be enforced. If a trade is executed and your resulting roster has greater than the maximum number of players allowed, or it violates the other position requirements, you will be required to enter the necessary transactions to correct your roster. If your roster is not legal by five (5) minutes before the first game of the week, your players will not accumulate statistics or points for the ensuing week.

Trade Deadline
In an effort to keep the integrity of the League, a deadline for trades will be imposed at 11:59 P.M. ET 2/11/2026. No trades can be accepted after the aforementioned date. If a trade is performed on 2/11/2026, it will still be allowed to go through the voting process.


11. Sportsmanship


General Sportsmanship
By participating, you agree to abide by the general sportsmanship and fairness rules set forth in these Terms and fantasy games in general. You further agree to accept and abide by the rulings and the decisions of CBSI regarding all questions of sportsmanship and fairness. If a Manager does not comply with the sportsmanship and fairness rules as embodied in these Terms, or CBSI determines (in CBSI's sole and exclusive discretion) that a Manager has acted in an unsportsmanlike or unfair manner, CBSI reserves the right to disqualify the Manager and/or remove that Manager from the League. In the event CBSI removes a Manager from a League, all decisions by CBSI in sportsmanship and fairness related matters will be final.

Multiple Teams
In order to keep the Leagues as competitive as possible, Managers will only be allowed to have one (1) team in a League.

Collusion
CBSI does not permit two (2) or more Managers in the same League to work together to better one (1) team at the expense of the other (for example, making one-sided trades, one team dropping highly-rated player(s) so the other team can pick them up, etc.).

Inappropriate League Communication
The Fantasy and League Message Boards, League News area, League Email Address and Chat Room are available for you to communicate with other League managers. We ask that you refrain from posting or sending messages that could be construed as offensive to other Managers. Inappropriate communication can also include spamming other League Managers with trade offers and posting multiple messages on the message board. If a Manager is unable to abide by the guidelines specified in the Paramount Terms of Use, CBSI reserves the right to terminate that Manager's ability to communicate within the League as well as to disqualify the Manager and/or remove that Manager from the League or the CBSI Platforms.


12. Dispute Resolution; Arbitration Agreement


IF YOU OR WE HAVE ANY DISPUTE WITH OR CLAIM AGAINST THE OTHER (A "CLAIM") ARISING OUT OF OR RELATING IN ANY WAY TO FREE FANTASY HOCKEY, AND THE CLAIM IS NOT RESOLVED BY CALLING OUR CUSTOMER SERVICE DEPARTMENT AT (888) 274-5343 AND BY FOLLOWING THE INFORMAL DISPUTE RESOLUTION PROCEDURE SET FORTH BELOW, YOU AND WE EACH AGREE TO RESOLVE SUCH DISPUTES THROUGH AN INDIVIDUAL BINDING ARBITRATION OR AN INDIVIDUAL ACTION IN SMALL CLAIMS COURT. Class arbitrations and class actions are not permitted, and a Claim may not be consolidated with any other person's claim. You and we agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and we are each waiving the right to a trial by jury or to participate in a class action. You and we agree that any arbitrations between you and us will be subject to this Section 12 and not to any prior arbitration agreement you had with us. This Section 12 shall survive termination of the Free Fantasy Hockey service.

12.1 Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure.

Before a party commences an arbitration or files a small claims court action with respect to a Claim, the party must first send to the other a written notice of dispute ("Notice"). A Notice from you to us must (1) be sent by certified mail; (2) be addressed to: CBS Interactive Inc., 680 Folsom Street, San Francisco, CA 94107, Attn: Legal Department (the "Notice Address"); (3) contain your name, address, and email address; (4) describe the nature and basis of your Claim; (5) if you are submitting the Notice, include any relevant facts regarding your use of the CBSI Platforms, including without limitation whether you have created an account; (6) specify the nature and basis of the specific relief sought, including the damages sought, if any, and a detailed calculation of them; and (7) include a personally signed statement from you (and not your counsel) verifying the accuracy of the contents of the Notice. The Notice must be individualized, meaning it can concern only your dispute and no other person's dispute.

After receipt of a completed Notice, the parties shall engage in a good faith effort to resolve the dispute for a period of 60 days (which can be extended by agreement). You and we agree that, after receipt of the completed Notice, the recipient may request an individualized telephone or video settlement conference (which can be held after the 60-day period) and both parties will personally attend (with counsel, if represented). You and we agree that the parties (and counsel, if represented) shall work cooperatively to schedule the conference at the earliest mutually-convenient time and to seek to reach a resolution. If we and you do not reach an agreement to resolve the issues identified in the Notice within 60 days after the completed Notice is received (or a longer time if agreed to by the parties), you or we may commence an arbitration proceeding or a small claims court proceeding (if permitted by small claims court rules).

Compliance with this Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure section is a condition precedent to initiating arbitration. Any applicable limitations period (including statute of limitations) and any filing fee deadlines shall be tolled while the parties engage in the informal dispute resolution procedures set forth in this Section 12.1. All of the requirements of the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure are essential so that you and we have a meaningful opportunity to resolve disputes informally. If any aspect of these requirements has not been met, a court of competent jurisdiction may enjoin the filing or prosecution of an arbitration. In addition, unless prohibited by law, the arbitration administrator may not accept, administer, assess, or demand fees in connection with an arbitration that has been initiated without completion of the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure. If the arbitration is already pending prior to the completion of the Mandatory Pre-Arbitration Notice and Information Dispute Resolution Procedure, the arbitration shall be administratively closed. Nothing in this paragraph limits the right of a party to seek damages for non-compliance with the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure in arbitration.

12.2 Arbitration Procedure.

Any such arbitration shall be governed by applicable rules of National Arbitration & Mediation ("NAM") (including the Comprehensive Dispute Resolution Rules and Procedures and/or the Supplemental Rules for Mass Arbitration Filings, as applicable) ("NAM Rules"), as modified by this Section 12 (the "Arbitration Agreement"), and will be administered by NAM. (If NAM is unavailable or unwilling to do so, another arbitration provider shall be selected by the parties that will do so, or if the parties are unable to agree on an alternative administrator, by the court pursuant to 9 U.S.C. §5.) The NAM Rules are available online at www.NAMADR.com, by calling NAM, or by requesting them in writing at the Notice Address. You may obtain a form to initiate arbitration at: https://www.namadr.com/content/uploads/2020/09/Comprehensive-Demand-for-Arb-revised-9.18.19.pdf or by contacting NAM.

You and we agree that the party initiating arbitration must submit a certification that they have complied with and completed the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure requirements referenced in Section 12.1 and that they are a party to the Arbitration Agreement enclosed with or attached to the demand for arbitration. The demand for arbitration and certification must be personally signed by the party initiating arbitration (and their counsel, if represented).

All issues, including the scope and enforceability of this Arbitration Agreement, are for the arbitrator to decide. The arbitrator may consider but shall not be bound by rulings in other arbitrations involving different customers. At the conclusion of the arbitration proceeding, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. The arbitrator's decision is binding only between you and us and will not have any preclusive effect in another arbitration or proceeding that involves a different party. An arbitrator's award that has been fully satisfied shall not be entered in any court.

As in court, you and we agree that any counsel representing a party in arbitration certifies when initiating and proceeding in arbitration that they are complying with the requirements of Federal Rule of Civil Procedure 12(b), including certification that the claim or relief sought is neither frivolous nor brought for an improper purpose. The arbitrator is authorized to impose any sanctions under the NAM Rules, Federal Rule of Civil Procedure 12, or applicable federal or state law, against all appropriate represented parties and counsel.

Except as expressly provided in this Arbitration Agreement, the arbitrator may grant any remedy, relief, or outcome that the parties could have received in court, including awards of attorneys' fees and costs, in accordance with applicable law. Unless otherwise provided by applicable law, the parties shall bear their own attorneys' fees and costs in arbitration unless the arbitrator awards sanctions or finds that either the substance of the claim, the defense, or the relief sought is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 12(b)).

The payment of arbitration fees (the fees imposed by the arbitration administrator including filing, arbitrator, and hearing fees) will be governed by the applicable NAM Rules, unless you qualify for a fee waiver under applicable law.

In circumstances in which the NAM Rules provide for an in-person hearing, such hearing will take place in the U.S. county (or parish) of your residence, or otherwise in New York, New York. If the Mass Filing process described in Section 12.7 is triggered, then the location of any hearing will be determined by the arbitrator.

12.3 Discovery During Arbitration.

The parties shall each be limited to a maximum of one (1) fact witness deposition per side, unless the arbitrator determines that more depositions are warranted based on the totality of circumstances, including the amount in controversy, the complexity of the factual issues, the number of parties and the diversity of their interests, and whether any or all of the claims appear, on the basis of the pleadings, to have sufficient merit to justify the time and expense associated with the requested discovery. Document requests shall be limited to documents that are directly relevant to the matter(s) in dispute or to its outcome; shall be reasonably restricted in terms of time frame, subject matter and persons or entities to which the requests pertain; shall not include broad phraseology such as "all documents directly or indirectly related to"; and shall not be encumbered with extensive "definitions" or "instructions." The Arbitrator may edit or limit the number of document requests based on the totality of circumstances, including the factors listed above.

Electronic discovery, if any, shall be limited as follows. Absent a showing of compelling need: (i) electronic documents shall only be produced from sources used in the ordinary course of business, and not from backup servers, tapes or other media; (ii) the production of electronic documents shall normally be made on the basis of generally available technology in a searchable format that is usable by the requesting party and convenient and economical for the producing party; (iii) the parties need not produce metadata, with the exception of header fields for email correspondence; (iv) the description of custodians from whom electronic documents may be collected should be narrowly tailored to include only those individuals whose electronic documents may reasonably be expected to contain evidence that is material to the dispute; and (v) where the costs and burdens of e-discovery are disproportionate to the nature of the dispute or to the amount in controversy, or to the relevance of the materials requested, the arbitrator may either deny such requests or order disclosure on the condition that the requesting party advance the reasonable cost of production to the other side, subject to the allocation of costs in the final award.

12.4 Confidentiality.

Upon either party's request, the arbitrator will issue an order requiring that confidential information of either party disclosed during the arbitration (whether in documents or orally) may not be used or disclosed except in connection with the arbitration or a proceeding to enforce the arbitration award and that any permitted court filing of confidential information must be done under seal to the furthest extent permitted by law.

12.5 Offer of Settlement.

In any arbitration between you and us, the defending party may, but is not obligated to, make a written settlement offer at any time before the evidentiary hearing or, if a dispositive motion is permitted, prior to the dispositive motion being granted. The amount or terms of any settlement offer may not be disclosed to the arbitrator until after the arbitrator issues an award on the claim. If the award is issued in the other party's favor and is less than the defending party's settlement offer or if the award is in the defending party's favor, the other party must pay the defending party's costs incurred after the offer was made, including any attorney's fees. If any applicable statute or case law prohibits the shifting of costs incurred in the arbitration, then the offer in this provision shall serve to cease the accumulation of any costs to which the party bringing the claim may be entitled for the cause of action under which it is suing.

12.6 Mass Filing.

If, at any time, 25 or more claimants (including you) submit Notices or seek to file demands for arbitration raising similar claims against the other party or related parties by the same or coordinated counsel or entities, consistent with the definition and criteria of Mass Filings ("Mass Filing") set forth in NAM's Mass Filing Supplemental Dispute Resolution Rules and Procedures ("NAM's Mass Filing Rules," available at https://www.namadr.com/resources/rules-fees-forms/), you and we agree that the additional procedures set forth below shall apply. The parties agree that throughout this process, their counsel shall meet and confer to discuss modifications to these procedures based on the particular needs of the Mass Filing. The parties acknowledge and agree that by electing to participate in a Mass Filing, the adjudication of their dispute might be delayed. Any applicable limitations period (including statute of limitations) and any filing fee deadlines shall be tolled beginning when the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedures are initiated, so long as the pre-arbitration Notice complies with the requirements in Section 12.1, until your Claim is selected to proceed as part of a staged process or is settled, withdrawn, otherwise resolved, or opted out of arbitration.

Stage One: Counsel for the claimants and counsel for CBSI shall each select 25 claims per side (50 claims total) to be filed and to proceed in individual arbitrations as part of a staged process. Each of these individual arbitrations shall be assigned to a different, single arbitrator unless the parties agree otherwise in writing. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After this initial set of staged proceedings is completed, the parties shall promptly engage in a global mediation session of all remaining claims with a retired federal or state court judge and CBSI shall pay the mediator's fee.

Stage Two: If the remaining claims are not resolved at this time, counsel for the claimants and counsel for CBSI shall each select 50 claims per side (100 claims total) to be filed and to proceed in individual arbitrations as part of a second staged process, subject to any procedural changes the parties agreed to in writing. Each of these individual arbitrations shall be assigned to a different, single arbitrator unless the parties agree otherwise in writing. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After this second set of staged proceedings is completed, the parties shall promptly engage in a global mediation session of all remaining claims with a retired federal or state court judge and CBSI shall pay the mediator's fee.

Stage Three: If the remaining claims are not resolved at this time, counsel for the claimants and counsel for CBSI shall each select 100 claims per side (200 claims total) to be filed and to proceed in individual arbitrations as part of a third staged process, subject to any procedural changes the parties agreed to in writing. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. Following this third set of staged proceedings, counsel for claimants may elect to have the parties participate in a global mediation session of all remaining claims with a retired federal or state court judge.

If your claim is not resolved as part of the staged process identified above, either:

Option One: You and CBSI may separately or by agreement, opt out of arbitration and elect to have your claim heard in court consistent with these Terms. You may opt out of arbitration by sending CBSI your individual, personally signed notice of your intention to opt out by certified mail addressed to CBS Interactive Inc., 680 Folsom Street, San Francisco, CA 94107, Attn: Legal Department. Such an opt out notice must be sent by you personally, and not by your agent, attorney, or anyone else purporting to act on your behalf. It must include a statement, personally signed by you, that you wish to opt out of arbitration within 30 days after the conclusion of Stage 3 or the elective mediation associated with Stage 3. CBSI may opt your claim out of arbitration by sending an individual, personally signed notice of its intention to opt out to your counsel within 14 days after the expiration of your 30-day opt out period. Counsel for the parties may agree to adjust these deadlines.

OR

Option Two: If neither you nor CBSI elect to have your claim heard in court consistent with Option One, then you agree that your claim will be resolved as part of continuing, staged individual arbitration proceedings as set forth below. Assuming the number of remaining claims exceeds 200, then 200 claims shall be randomly selected (or selected through a process agreed to by counsel for the parties) to be filed and to proceed in individual arbitrations as part of a staged process. If the number of remaining claims is fewer than 200, then all of those claims shall be filed and proceed in individual arbitrations. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After each set of 200 claims are adjudicated, settled, withdrawn, or otherwise resolved, this process shall repeat consistent with these parameters. Counsel for the parties are encouraged to meet and confer, participate in mediation, and engage with each other and with NAM (including through a Procedural Arbitrator, as that term is used in the NAM Rules) to explore ways to streamline the adjudication of claims, increase the number of claims to proceed at any given time, promote efficiencies, conserve resources, and resolve the remaining claims.

A court of competent jurisdiction shall have the authority to enforce these Mass Filing provisions and, if necessary, to enjoin the mass filing, prosecution, or administration of arbitrations and the assessment of arbitration fees. If these additional procedures apply to your Claim, and a court of competent jurisdiction determines that they are not enforceable as to your Claim, then your Claim shall proceed in a court of competent jurisdiction consistent with these Terms.

You and CBSI agree that we each value the integrity and efficiency of arbitration and wish to employ the process for the fair resolution of genuine and sincere disputes between us. You and CBSI acknowledge and agree to act in good faith to ensure the processes set forth herein are followed. The parties further agree that application of these Mass Filing procedures have been reasonably designed to result in an efficient and fair adjudication of such cases.

12.7 Severability.

If any portion of this Arbitration Agreement is found to be void, invalid, or otherwise unenforceable, then that portion shall be deemed to be severable and, if possible, superseded by a valid, enforceable provision, or portion thereof, that matches the intent of the original provision, or portion thereof, as closely as possible. The other portions of this Arbitration Agreement shall continue to be enforceable and valid according to the terms contained herein.


13. Legal Disclaimers


All participants agree to abide by the terms of these Terms and the Legal Disclaimers below, and by the decisions of CBSI, which are final and binding on all matters pertaining to Free Fantasy Hockey.

No Internet Connection Equipment Provided. Participation in Free Fantasy Hockey requires access to the Internet. CBSI shall not be obligated to, and you acknowledge that CBSI will not, provide any bandwidth, modem, computer, or any other equipment, system or connectivity for you to connect to the Internet. You shall be solely responsible for all modems, computers, operating systems connection devices and bandwidth necessary for connecting to the Internet through which you can access Free Fantasy Hockey and the CBS Sports Content. Normal internet access and usage charges imposed by your service provider may apply.

Revision of Free Fantasy Hockey. CBSI may modify, suspend or discontinue any aspect of the Free Fantasy Hockey service at any time with or without notice, including, without limitation, the availability of any CBS Sports Content. "CBS Sports Content" shall mean any and all proprietary images, technology, applications, artwork, copy, information, trademarks, service marks, data, or knowledge or other materials made available to you as part of Free Fantasy Hockey. CBSI may also impose limits on certain features and services or restrict your access to parts or all of Free Fantasy Hockey and/or the CBS Sports Content without notice or liability of any kind.

No Resale. You agree that you may not resell, lease, license, assign, redistribute, use in a commercial way and/or derive any pecuniary gain, or otherwise transfer any portion of the Free Fantasy Hockey service, including, without limitation, the CBS Sports Content.

No Accuracy of CBS Sports Content. The CBS Sports Content contains information, advice, text and materials that are provided for your convenience and enjoyment. Third parties provide some of the CBS Sports Content. You should be aware that the CBS Sports Content might contain errors, omissions, inaccuracies, outdated information and inadequacies, and that the CBS Sports Content may be subject to terms and conditions which may be found in the documents and policies of third parties. We make no representations or warranties as to the completeness, accuracy, adequacy, currency or reliability of any CBS Sports Content and will not be liable for any lack of the foregoing.

No Warranty of Lawfulness. CBSI does not represent or warrant that every action you take with regard to your account and related activities in connection with Free Fantasy Hockey, including, without limitation, the CBS Sports Content, will be lawful in any particular jurisdiction. It is incumbent upon you to know the laws that pertain to you in your jurisdiction and act lawfully at all times when participating in Free Fantasy Hockey and using the CBS Sports Content.

Entertainment Purposes Only. Free Fantasy Hockey, including the CBS Sports Content, may not be used in any commercial way, including, without limitation, to create, and/or operate as a business, and/or derive any pecuniary gain.

Collection of Personal Information. All personally identifiable information disclosed by Registered Users in connection with Free Fantasy Hockey is subject to the Paramount Privacy Policy incorporated herein by reference.

General Conditions
By entering, each entrant accepts and agrees to be bound by these Terms and by the decisions of CBSI, which shall be final and binding in all respects. Further, each entrant also acknowledges and agrees to the Paramount Terms of Use and Paramount Privacy Policy, incorporated herein by reference. In the event these Terms conflict with the Paramount Terms of Use, the Paramount Terms of Use shall apply.

All federal, state and local, and laws regulations apply.

CBSI is not responsible for lost, late or misdirected online entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions. CBSI reserves the right to halt or modify Free Fantasy Hockey at any time during the Period if events beyond their control compromise fairness or integrity of the service.

CBSI, in its sole discretion, may disqualify any participant if entrant engages in any conduct CBSI deems to be improper, unfair or otherwise adverse to the operation of Free Fantasy Hockey or detrimental to other participants. Such improper conduct includes, but is not limited to, falsifying personal information required during registration, violating any term or condition stated herein, accumulating points, or through methods such as automated computer scripts or other programming techniques, allowing others to use the entrant's personal information for the purpose of accumulating points, tampering with CBSI's administration of the Free Fantasy Hockey service, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this Web site.

Free Fantasy Hockey is not affiliated with or endorsed by NHL or any NHL team.

Free Fantasy Hockey may not be used for any form of gambling.

Internet
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of CBSI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of Free Fantasy Hockey, CBSI reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend Free Fantasy Hockey.

CBSI assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. CBSI is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation in or downloading any materials as part of Free Fantasy Hockey.

Lost or Corrupted Entries
CBSI, CBS Broadcasting Inc. and each of their parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies (collectively the "CBSI Entities") assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage due entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The CBSI Entities, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized as part of Free Fantasy Hockey, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to Free Fantasy Hockey.

Damaged Property
The CBSI Entities assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person's computer or property related to or resulting from participating in Free Fantasy Hockey or downloading materials as part of the service.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF FREE FANTASY HOCKEY IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CBSI RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event that Free Fantasy Hockey is challenged by any legal or regulatory authority, CBSI reserves the right to, in its sole and exclusive discretion, discontinue or modify Free Fantasy Hockey, or to disqualify participants residing in the affected geographic areas. In such event, CBSI shall have no liability to any participants who are disqualified due to such an action.

Errors
The CBSI Entities assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with typographical, human, technical or other, errors and/or ambiguity: (a) as part of the Free Fantasy Hockey service; (b) in any related advertising or promotions; and/or (c) in these Terms including but not limited to errors in advertising, the Terms. In the event of any ambiguity(s) or error(s) in these Terms, CBSI and/or Administrators reserve the right to modify these Terms for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of Free Fantasy Hockey.

Release and Indemnity
Each entrant in Free Fantasy Hockey hereby releases and agrees to hold harmless the CBSI Entities from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from participation in Free Fantasy Hockey and participation in any activity related to Free Fantasy Hockey.

Limitation of Liability and Disclaimer of Warranties
IN NO EVENT WILL THE CBSI ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN FREE FANTASY HOCKEY OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED AS PART OF FREE FANTASY HOCKEY. IN NO EVENT SHALL CBSI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. WITHOUT LIMITING THE FOREGOING, FREE FANTASY HOCKEY IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

Governing Law and Jurisdiction
These Terms and all claims arising from or related to your participation in Free Fantasy Hockey will be governed by and construed in accordance with the laws of the State of New York, except New York's conflict of law rules. These Terms will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, if applicable.

With respect to any disputes or claims not subject to arbitration or small claims court (as set forth in Section 12 above), you agree to exclusive jurisdiction in the state and federal courts in New York, New York.

Regardless of any statute or law to the contrary, you must file any claim or action related to Free Fantasy Hockey or these Terms within one year after such claim or action accrued. Otherwise, you will waive the claim or action.
