Introduction
2013 CBSSports.com Football Player Challenge
Welcome to 2013 CBSSports.com Football Player Challenge (the "Challenge"). The Challenge is divided into fourteen (14) individual contests (each individually a "Contest" and collectively, the "Contests"). Each Contest consists of a four-week long competition/game (the "Contest Period") that will require participants, who will be divided into groups (each, a "league") that consist of twelve (12) users each, to field a lineup of eight (8) NFL players for each of the four (4) weeks of the Contest Period (each week, a "Contest Weekly Period"), from amongst a set list of players provided. Participants will be required to set a new lineup of eight (8) players by the Contest set lineup deadline for each Weekly Period and will not be able to use any player more than once during a Contest Period. The Challenge will run throughout the 2013 NFL Regular season; the Challenge begins on Thursday, September 5, 2013, and ends Sunday, December 29, 2013 (the "Challenge Period").

The Administrator
CBS Interactive Inc. ("CBSI") will serve as the Administrator of the Challenge and Contests, and will be responsible for resolving any disputes that arise regarding violations of the rules.



Challenge Groups
Signing Up
You may sign up to participate in the Challenge at any time after August 20, 2013. Signups for each Contest will close at 12:00 noon EST on the first Sunday of the Contest Period, in accordance with the terms herein. So, as an example, signup window for the first Contest and to set your team's player lineup during the first Contest Weekly Period will close at 12:00 noon EST on Sunday, September 8, 2013 (this is one hour prior to the first Sunday NFL game, the deadline to enter a Contest and your team's lineup for that Contest Weekly Period). Anyone signing up to the Challenge after this time will be rolled into the next Contest Period that will begin the following week (signups for the second Contest will close at 12:00 noon EST on Sunday, September 15, 2013). There will be fourteen (14) Contest Periods throughout the seventeen (17)-week 2013 NFL season. Each Contest Weekly Period will begin on a Tuesday and end on a Monday night.

Cost to Play
Signup cost depends on the level of competition you choose within a Contest; there are three (3) levels of competition per Contest, as described herein. Each team entry will cover one Contest. The Football Player Challenge Gold level of competition costs $39.99 per team for your first team, and $29.99 per team for each additional team. The Football Player Challenge Platinum level of competition costs $99.99 per team for your first team, and $79.99 per team for each additional team. The Football Player Challenge Diamond level of competition costs $249.99 per team for your first team, and $199.99 for each additional team. This price point ends on November 3, 2013 at 12:00PM ET.

For the Challenge beginning on November 5, 2013 Football Player Challenge Gold level of competition costs $30.00 per team; The Football Player Challenge Platinum level of competition costs $80.00 per team; The Football Player Challenge Diamond level of competition costs $200.00 per team; there are no additional team discounts for any level of play.

Eligibility
CBSSports.com Football Player Challenge Gold is open to: (a) Registered Users; (b) legal residents of the United States or Canada (excluding Quebec) (for purposes of clarity, Puerto Rico and all US territories and possessions are expressly excluded); and (c) at least eighteen (18) years old or age of majority, whichever is older in their state of residence, at the date of registration in the Contest. PLEASE NOTE: Notwithstanding the foregoing: (i) eligible legal residents of Canada, Arizona, Iowa, Louisiana, Montana and Washington State may play Fantasy Football Gold, but are not eligible to win any prizes; and (ii) in all events you must be eighteen (18) years of age or older (if the age of majority in a jurisdiction is over 18, you must be of the age of majority within your jurisdiction) in order to win any prizes.

CBSSports.com Football Player Challenge Platinum and Diamond, are open to: (a) Registered Users; (b) legal residents of the United States (excluding residents of Arizona, Iowa, Louisiana, Montana and Washington State) (for purposes of clarity, Puerto Rico and all US territories and possessions are expressly excluded); and (c) at least eighteen (18) years old or the age of majority, whichever is older in their state of residence, at the date of registration in the Contest.

For purposes of these Official Rules, "Registered User" means a person who has successfully completed the registration form and has obtained a User Identification ("ID") and associated password ("Password") on one of the CBSI network of Websites which currently include the following: CBS.com, CBSSports.com, and NCAA.com.

*All CBSSports.com Fantasy Football contests are subject to the complete applicable Official Rules. Void where prohibited by law.

Employees of CBS Interactive Inc. and CBS Broadcasting Inc. (collectively the "Contest Entities") and each of their parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and members of the immediate family or household of each are not eligible to win. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee of the Contest Entities. Void where prohibited by law. Such excluded employees and/or family members may play, but WILL NOT be eligible to receive any prizes.

Challenge and League Joining Deadline
After you become a Registered User, you may sign up for the Challenge at anytime up to 11:59:59 AM ET on 12/08/2013. Each Contest will have various numbers of leagues; each league will consist of twelve (12) participants, or team "owners." The first day of the NFL season is set for Thursday 09/05/2013. Users signing up after 7:25pm ET on Thursdays will only be placed in groups with other users who also signed up after 7:25pm ET Thursday of that same week. This is so that all owners in the same league have the same advantage in terms of available players to select from, as the Thursday players lock and cannot be selected for the first Contest Weekly Period of the Contest after 5-minutes prior to their game's start time.

There will be twelve (12) teams per league. Once signed up, CBSSports.com will randomly place the users in a league with eleven (11) other players. Once assigned to a league, the user will not be able to change leagues. Any additional team purchased by a user may NOT be used in a league where that user already has a team. If the user has multiple teams, each team must be in a different league.

Refund Policy
Once participants have signed up for a Contest and are placed into a league, they may not receive a refund for any amount, partial or full, of the entry fee paid.



Lineup Selection
Roster Requirements
The chart below lists roster requirements for each team entry. Each user must select the required number of players at each position (listed below) from the available player pool. User selections are made in isolation from one another; there is no draft in this game. The user cannot use a player more than once during a Contest Period. So, if the user selects Adrian Peterson in the first Contest Weekly Period, he cannot use Peterson again for Contest Weekly Periods 2-4 of the Contest Period. The user will also not be allowed to set a lineup that does not meet the roster requirements. Once the Sunday lineup setting deadline passes, all lineup changes made after the deadline will take effect for the following week's games.

For NFL players who play more than one position, CBSSports.com will determine their position eligibility. If a player is listed at one position but then plays another for the week (e.g. a running back plays wide receiver) his statistics at the new position will count for the user's team. If any of the user's selected NFL players are injured after the lineup setting deadline, or for any reason are not available to play, the user will not be able to change them.

Player Pool
Each Contest will consist of a CBSSports.com pre-defined player pool that users will be allowed to field their roster from (roster requirements are denoted below). The chart below highlights the minimum number of players available in the player pool per position. When a player is made available in the player pool he is then never removed from the player pool during that Contest Period. However, CBSSports.com may add players to the pool throughout the Contest Period, allowing everyone in the challenge the same opportunity to select the new players. Like the original players in the player pool, these new additions would not be removed for the duration of that Contest Period.

The players in the player pool will lock and will not be available for selection 5-minutes prior to their game time. So, a user cannot select a player that is playing in a Thursday night game after 8:20 pm EST Thursday.

Selection Deadline
All lineups lock 5 minutes prior to the Sunday 1pm ET game. This means that users have until 5 minutes prior to Sunday's 1pm ET games to set their roster each Contest Weekly Period. Users can only select players from earlier games in that week (games prior to Sunday 1pm ET) if they get those selections in at least 5-minutes prior to the player's game. So, if the user had signed up for the group prior to Thursday at 7:25pm ET and wants to select a player from the Thursday night game, he must make his selection prior to 8:20pm ET of such Thursday. And, once the player has been selected, he is locked for that week and cannot be deselected.



Scoring
Point Values
Point Values: During each Contest Weekly Period the user's team will compete against all other participants. A team will accumulate points based on the statistics accumulated by the NFL players on the team. The chart below lists the point values.

Offensive Scoring (QB, RB, WR, TE). Scoring will be calculated according to the following example: If a QB throws for 200 yards, 2 TDs - rushes for 20 yards, 1 TD - and has 25 yards receiving, his point total for the week would be: 3 TDs = 18 points, 200yds Passing = 8 points, 20yds Rushing = 2 points, 25yds receiving = 2 points; or 30 total points for the week. Please note that, if the user has an active QB and an active WR who play for the same NFL team, and his QB throws a touchdown pass to his WR, then he is credited with two touchdowns on the play and he will receive 6 points for each touchdown (12 points total). Also, it should be noted that players on the user's active roster at an offensive position cannot receive individual offensive points for his team when they are on special teams.

Defensive / Special Team scores (TDs, Fumble Recoveries, INTs, Safeties or Sacks). The user's defense is awarded points when any one of its members generates either a TD, INT, fumble recovery, safety or sack. His defense also is awarded points for a kickoff or punt return that results in a TD. For instance, if the user's active defense is the Saints, and Reggie Bush returns a punt for a TD, your defense (the Saints) gets 6 points. But in that same situation, a team using Bush as an active RB would NOT be awarded 6 points for the touchdown.

Fumbles Lost by an active player on the user's roster playing offense, special teams or defense will lose 2 points if they turn the ball over to the opposing team at any time during the game. For instance, if you have Reggie Bush active at RB and he fumbles the ball away at any time while he is on the field your team will lose 2 points. This includes a fumble lost while returning a kick, interception or obviously while on offense at RB.

Defensive Points Allowed will take into account ALL the points allowed by the team as a whole. This includes points scored against the offense (TD from an interception, safeties, etc.) and special teams (punt return for a TD) as well as those scored against the defense.

Defensive Touchdowns are any touchdowns scored by the defensive team. This includes fumble returns and interception returns.

Special Teams Touchdowns are touchdowns scored by punt returns, kickoff returns or returns of a blocked Field Goal kick or punt.

To calculate the Total Yards Allowed, simply add the other team's Total Rushing and Total Passing Yards gained.

Rounding will NOT be used when calculating points from statistics. For example 49 yards rushing will result in 4 points.

Tiebreakers
League champion ties will be broken by comparing tied eligible participants' weekly performances beginning with the last week of play (week 4 of a Contest) and going backwards until the tie is broken. The participant with the higher score in an individual Contest Weekly Period within that Contest will be declared the league champion winner (the "Winner"). In the event that there is still a tie after all weekly performances are examined, total points throughout the Contest Period, by position, will be used to break the tie. Total points will be examined, by position, in the following order: Quarterback, Running Backs, Wide Receivers, Tight End, Kicker, and Defensive Team. In the event that there is still a tie after comparing total points, the title of Winner will be awarded to the eligible participant who first submitted their picks in that Contest.



Prizes
League Winner Prizes (the "Prizes")
The first-place eligible finisher in each Gold group will win Two Hundred Dollars (US $200.00).
The first-place eligible finisher in each Platinum group will win Six Hundred Dollars (US $600.00).
The first-place eligible finisher in each Diamond group will win Sixteen Hundred Dollars (US$1,600.00).

Beginning with the Football Player Challenge ending on December 2, 2013, the prizes are as follows:

The first-place eligible finisher in each Gold group will win Two Hundred Fifty Dollars (US $250.00).
The first-place eligible finisher in each Platinum group will win Seven Hundred Fifty Dollars (US $750.00).
The first-place eligible finisher in each Diamond group will win Two Thousand Dollars (US $2000.00).

Prize Notification
Potential Prize Winners will be notified via an e-mail, to the e-mail address provided during registration to the Contest, with instructions on how to claim your prize. Potential Prize Winners will be required to complete and submit an Affidavit of Eligibility and Release (Eligibility release will require potential Winner to provide their social security number and a copy of participants driver's license or government issued identification to confirm such participant resides in an eligible state) within thirty (30) days from the date CBSI sends the potential winner notification e-mail. Failure to complete and submit such documents within the specified time period may result in the forfeiture of the applicable Prize. Such Affidavit of Eligibility and Release document may be delivered electronically or via regular mail, at the sole and exclusive discretion of the Administrator.

In the event of Prize forfeiture, Prize forfeited will be awarded to an alternate participant; to be the eligible participant with the next highest league points. Only one alternate will be contacted per Prize that is forfeited. Such alternate participant will be required to complete and submit an Affidavit of Eligibility and Release, within thirty (30) days from the date CBSI sends such alternate participant a potential Winner notification e-mail.

In addition, participant's noncompliance with these Official Rules, the return of any Prize(s) or a Prize notification(s) or if any potential Winner declines a Prize for any reason, Prize will be forfeited and such Prize may be awarded to another eligible entrant with the next highest league points accumulated, in accordance with these Official Rules (as applicable). CBSI may send potential Winners, who have not claimed their Prize, one (1) additional reminder e-mail. Prizes that are not claimed within the time frames specified above may not be awarded.



Legal Disclaimers
All participants agree to abide by the terms of these Official Rules and the Legal Disclaimers below, and by the decisions of CBSI, which are final and binding on all matters pertaining to the Challenge and Contests.

General Conditions
By entering, each entrant accepts and agrees to be bound by these rules and by the decisions of CBSI, which shall be final and binding in all respects. Further, each participant also acknowledges and agrees to the CBS Interactive Inc. Terms of Use and the CBS Interacive Inc. Privacy Policy, incorporated herein by reference. Taxes, if any, are the sole responsibility of each of the Winners. No substitution or transfer of a Prize is permitted except by CBSI. CBSI reserves the right to substitute a Prize for one of equal or greater value in the event that an advertised Prize is unavailable.

Except where prohibited by law, a Winner's acceptance of a Prize constitutes permission for the Administrator to use a Winner's name, photograph, likeness, statements, biographical information, voice and address (city and state) worldwide, in all forms of media and for any purpose including advertising, in Administrator's sole and exclusive discretion, in perpetuity, without further compensation.

All federal, state, local, and provincial laws and regulations apply.

CBSI is not responsible for lost, late or misdirected on-line entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions. CBSI reserves the right to halt or modify the Challenge and/or any of the Contests at any time during the Challenge Period if events beyond its control compromises the Challenge and/or any of the Contests' fairness or integrity. In the event that a scheduled football game is canceled or preempted for any reason, no points will be awarded for that week(s) for players on the affected NFL teams.

CBSI is not responsible for typographical or other human or technical errors in the offer or administration of this Challenge and/or any Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of a Winner(s) or the distribution of the Prize(s).

CBSI, in its sole and exclusive discretion, may disqualify any user from participating in the Challenge and/or any Contest, refuse to award points or Prize(s), and require the return of a Prize(s), if participant engages in any conduct CBSI deems to be improper, unfair or otherwise adverse to the operation of the Challenge and/or any Contest or detrimental to other participant. Such improper conduct includes, but is not limited to, falsifying personal information required during Contest registration or Prize claim(s), violating any term or condition stated herein, accumulating points or Prizes through methods such as automated computer scripts or other programming techniques, allowing others to use the entrant's personal information for the purpose of accumulating points or Prize(s), tampering with CBSI's administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this Web site. Participant further acknowledges that the forfeiture of any Prize(s) and/or return of the Prize(s) shall in no way prevent CBSI from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

CBSI reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Challenge and/or any Contest. This Challenge and/or any Contest are not affiliated with or endorsed by NFL or any NFL team. These are skill Contests designed to increase consumer awareness of and interest in the CBSSports.com Service.

This Challenge and/or any Contest may not be used for any form of gambling.

Rules/Winner Information
For the names of the Winners send a self addressed stamped envelope for receipt by January 31, 2014 to "Winners list 2013 CBSSports.com Football Player Challenge " c/o CBS Interactive Inc., 1401 W. Cypress Creek Rd., Suite 200, Fort Lauderdale, FL 33309.

For a copy of the Official Rules send a self addressed stamped envelope to the above address marked "Official Rules: "2013 CBSSports.com Football Player Challenge" for receipt by December 31, 2013. Residents from VT may omit postage on the self addressed envelope.

Internet
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of CBSI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Challenge and/or any Contest, CBSI reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Challenge and/or any Contest. In such event, CBSI further reserves the right to award Prize(s) to the eligible players with the most points as of the termination date and to award the Prize(s) to the players with the best record (tie breakers rules will apply) in each league in the Contest as of termination date.

CBSI assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. CBSI is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Challenge and/or any Contest.

Lost or Corrupted Entries
CBSI, and its parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage due entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. CBSI, and its parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Challenge and/or any Contest, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Challenge and/or any Contest.

Damaged Property
CBSI, and its parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person's computer or property related to or resulting from participating in this Challenge and/or any Contest or downloading materials from this Challenge and/or any Contest.

CAUTION: ANY ATTEMPT BY A CONTESTANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE AND/OR ANY CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CBSI RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any entry that is incomplete, late, or does not include a validly issued User ID will be disqualified. In the event that the Challenge and/or any Contest is challenged by any legal or regulatory authority, CBSI reserves the right to discontinue or modify the Challenge and/or any Contest, or to disqualify participants residing in the affected geographic areas. In such event, CBSI shall have no liability to any participants who are disqualified due to such an action.

Contest Errors
CBSI, and its parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Challenge and/or any Contest; (b) in any related advertising or promotions of this Challenge and/or any Contest; and/or (c) in these Official Rules including but not limited to errors in advertising, the Official Rules, the selection and announcement of a Winner or the distribution of a Prize. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Challenge and/or any Contest.

Prize Winner(s) and Prize(s)
CBSI, and its parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of a Winner, the distribution of a Prize, the acceptance/possession and/or use/misuse of any part of a Prize and/or any injury or damage to any entrant's or third person's property related to or resulting from any part of a Prize or any part of this Challenge and/or any Contest.

Release and Indemnity
Each entrant in the Challenge and/or any Contest, including, without limitation, the Winners, hereby releases and agrees to hold harmless the CBSI and its parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a Prize, participation in this Challenge and/or any Contest and participation in any activity related to this Challenge and/or any Contest.

Limitation of Liability and Disclaimer of Warranties
IN NO EVENT WILL CBSI AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE CHALLENGE AND/OR ANY CONTEST, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE CHALLENGE AND/OR ANY CONTEST. IN NO EVENT SHALL CBSI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE CHALLENGE AND/OR ANY CONTEST AND THE SERVICE INCLUDING THE PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. Binding Arbitration
The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Challenge and/or any Contest. Any controversy or claim arising out of or relating to these Official Rules, a Prize and/or the Challenge and/or any Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, in the City of New York.

Governing Law and Jurisdiction
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES.

For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules, a Prize and/or the Challenge and/or any Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the New York state and federal courts located in the City of New York and State of New York. The parties agree not to raise the defense of forum non conveniens.
