THESE TERMS ENCOMPASS ALL OF CBS INTERACTIVE INC.'S ("CBSI") FREE FANTASY SERVICES, INCLUDING, BUT NOT LIMTED TO: (1) FREE FANTASY BASEBALL; (2) FREE FANTASY BASKETBALL; (3) FREE FANTASY FOOTBALL, (4) FREE FANTASY HOCKEY; (5) FANTASY BASEBALL MOCK DRAFTS; (6) FANTASY BASKETBALL MOCK DRAFTS; (7) FANTASY FOOTBALL MOCK DRAFTS AND (8) FANTASY HOCKEY MOCK DRAFTS.

THE FREE FANTASY SERVICES (AS DEFINED BELOW) MAY NOT BE USED TO CONDUCT, ADVERTISE OR PROMOTE ANY FORM OF GAMBLING. CBSSPORTS.COM'S FREE FANTASY SERVICES ARE OPEN TO PERSONS WHO ARE: (A) REGISTERED USERS (AS DEFINED BELOW); (B) LEGAL RESIDENTS OF THE UNITED STATES (FOR PURPOSES OF CLARITY, PUERTO RICO AND ALL US TERRITORIES AND POSSESSIONS ARE EXPRESSLY EXCLUDED); AND (C) AT LEAST EIGHTEEN (18) YEARS OLD OR AGE OF MAJORITY, WHICHEVER IS OLDER, IN YOUR STATE OF RESIDENCE AT THE DATE OF REGISTRATION. VOID WHERE PROHIBITED BY LAW.

IMPORTANT NOTICE: THESE SERVICES ARE SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION I OF CBSI TERMS OF USE.

If you are a wireless service subscriber and have a smartphone, tablet and/or other wireless device that allows you to access these services, you may access these services via any of those devices. If you decide to access these services via any such wireless device, you may be charged data rates in accordance with the Terms and Conditions of the Service Agreement with your wireless carrier.

1. Introduction.

"Free Fantasy Sports Services" or "FFS Services" means any, and all, free fantasy sports offerings provided by CBSI. The FFS Services take place on "CBSSports.com Platforms," which include the website located at the domain cbssports.com and the mobile apps CBS Sports App and CBS Sports Fantasy, as well as any other websites or apps as determined in the sole and exclusive discretion of CBSI. "Registered User" means a person who has successfully completed the registration form and has obtained a User Identification ("ID") and associated password ("Password") on one of the CBSI network of sports and entertainment websites or apps, which includes but is not limited to the following: CBSSports.com, SportsLine.com, StarTrek.com, College Sports Live, 247Sports.com, CBSNews.com and Weather Watcher. There is no charge or payment to become a Registered User.

Each of the FFS Services covered by these Terms requires joining a League with other players. The Commissioner of a League is responsible for coordinating and managing the League. CBS Interactive Inc. ("CBSI") will serve as the Commissioner for all Leagues and will be solely responsible for resolving any disputes that arise regarding unbalanced trades, alleged rules violations or anything else. "CBSI Parties" includes CBSI, CBS Broadcasting Inc. and each of their parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies. These Terms may be updated from time to time without notice to you. It is important for you to refer to these Terms from time to time to make sure that you are aware of any additions, revisions, or modifications that we may have made to them. Due to any unforeseen circumstances, including, without limitation, any game(s) cancellation, the absence of game(s) statistics, a pandemic (e.g. Covid-19) and/or any other circumstances, CBSI may in its sole discretion make material changes to any or all of the FFS Services, including, without limitation, canceling any or all of the FFS Services and/or concluding any or all of the FFS Services early. If such changes are necessary, they will be noted in your League homepage.



2. Legal Disclaimers.

General Conditions. By entering, you accept and agree to be bound by these Terms and by the decisions of CBSI, which shall be final and binding in all respects. Further, you also acknowledge and agree to the CBSI Terms of Use and Paramount Skydance Privacy Policy, incorporated herein by reference. In the event these Terms conflict with the CBSI Terms of Use, the CBSI Terms of Use shall apply. All federal, state, and local laws and regulations apply. The FFS Services are not affiliated with or endorsed by any sport league or team.

Privacy. All personally identifiable information disclosed by Registered Users in connection with the FFS Services is subject to the Paramount Skydance Privacy Policy. A user's team name and/or a user's name may be displayed in full (name and last name) or partial (name and first initial of last name) format in certain instances within the FFS Services. If you do not want your name to appear on the FFS Services' pages, go to the League Home page(s) and change your personal information within the "Options" tab. Specifically, the information you input in the "Your Name" area. The information you write into the "Your Name" area is the information that will be displayed on the applicable FFS Service pages. We cannot ensure the security of any information you choose to make public in the FFS Services' pages, chat room, forum, or message board. Also, we cannot ensure that parties who have access to such publicly available information will respect your privacy. Please exercise caution when disclosing personal information in these areas.

Modification or Discontinuance of FFS Services. The FFS Services are offered at the sole discretion of CBSI and CBSI has the right to modify, suspend or discontinue any aspect of the FFS Services, in whole or in part, at any time with or without notice. You agree that CBSI will not be liable to you or to any third party for any modifications or discontinuance of the FFS Services.

This includes if for any reason the FFS Services are not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of CBSI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the FFS Services. In that event, CBSI reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend any of the FFS Services.

No Guaranteed Availability or Accuracy of CBS Sports Content. CBSI may also modify or suspend in its sole discretion the availability of any CBS Sports Content. "CBS Sports Content" shall mean any and all proprietary images, technology, applications, artwork, copy, information, trademarks, service marks, data, or knowledge or other materials made available to you as part of the FFS Services. The CBS Sports Content contains information, advice, text and materials that are provided for your convenience and enjoyment. Third parties provide some of the CBS Sports Content. You should be aware that the CBS Sports Content might contain errors, omissions, inaccuracies, outdated information and inadequacies, and that the CBS Sports Content may be subject to terms and conditions which may be found in the documents and policies of third parties. We make no representations or warranties as to the completeness, accuracy, adequacy, currency or reliability of any CBS Sports Content and will not be liable for any lack of the foregoing.

License. While CBSI offers the FFS Services, CBSI grants to you, and by participating you accept, a personal, non-transferable, non-commercial, non-exclusive, limited, revocable license, to view and use the FFS Services, including the CBS Sports Content (where applicable, in executable, object code form only). Nothing herein shall be interpreted to mean, and CBSI does not grant you any right or license in any CBSI materials or other proprietary images, trademarks, artwork, copy, information, data, knowledge, computer software, technology, or any other material or information of any kind. You represent, warrant and covenant that you shall not reverse engineer, decompile, translate, modify, or develop derivative works based on, the FFS Services, including, without limitation, the CBS Sports Content.

Copyright and Trademark. The FFS Services, including without limitation, the CBS Sports Content, are protected by copyright pursuant to U.S. copyright laws, international conventions and other copyright laws, and are owned or controlled by CBSI. You will abide by any and all additional copyright notices, information, or restrictions contained in the FFS Services, including, without limitation, the CBS Sports Content or as CBSI otherwise may impose from time to time. Nothing herein shall be interpreted to mean, and CBSI does not grant you any right or license in any CBSI trademark, trade name, trade secrets, service mark, insignia, slogan, name, emblem, logo, symbol, design and/or other identifying characteristics owned by or associated with the CBSI Parties in any manner whatsoever.

No Internet Connection Equipment Provided. Participation in the FFS Services requires access to the Internet. CBSI shall not be obligated to and you acknowledge that CBSI will not provide any bandwidth, modem, computer, or any other equipment, system or connectivity for you to connect to the Internet. You shall be solely responsible for all modems, computers, operating systems connection devices and bandwidth necessary for connecting to the Internet through which you can access the FFS Services and the CBS Sports Content. Normal internet access and usage charges imposed by your service provider may apply.

No Resale. The FFS Services and CBS Sports Content are for entertainment purposes only and may not be used in any commercial way. You agree that you may not resell, lease, license, assign, redistribute, use in a commercial way and/or derive any pecuniary gain, or otherwise transfer any portion of the FFS Services, including, without limitation, the CBS Sports Content.

Internet Malfunctions and Errors. The CBSI Parties assume no liability and are not responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or any other technical problems or traffic congestion on the Internet, including any failure of any entry to be received or captured accurately on account of such technical problems or any injury or damage to participant's or any other person's computer related to or resulting from participation in or downloading any materials as part of the FFS Services.

The CBSI Parties, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized as part of the FFS Services.

Damaged Property. The CBSI Parties assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person's computer or property related to or resulting from participating in the FFS Services or downloading materials as part of the service.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE FFS SERVICES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CBSI RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event that the FFS Services, in whole or in part, is challenged by any legal or regulatory authority, CBSI reserves the right to, in its sole and exclusive discretion, discontinue or modify the FFS Services, or to disqualify participants residing in the affected geographic areas. In such event, CBSI shall have no liability to any participants who are disqualified due to such an action.

Errors. The CBSI Parties assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with typographical, human, technical or other, errors and/or ambiguity as part of the FFS Services, including with respect to these Terms or in any related advertising or promotions.

In the event of any ambiguity(s) or error(s) in these Terms, CBSI reserves the right to modify these Terms for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the FFS Services.

Sportsmanship. If CBSI determines (in CBSI's sole and exclusive discretion) that a participant has acted in an unsportsmanlike or unfair manner, CBSI reserves the right to disqualify that participant and/or remove them from ongoing FFS Services. Specifically, CBSI does not permit two (2) or more participants in the same League to work together to better one (1) team at the expense of the other (for example, making one-sided trades, one team dropping highly-rated player(s) so the other team can pick them up, etc.). In the event CBSI removes a participant from a League, all decisions by CBSI in sportsmanship and fairness related matters will be final.

You represent and warrant that you will not upload, post, transmit, distribute or otherwise publish through the FFS Services any materials which: (a) restrict or inhibit any other user from using and enjoying the FFS Services; (b) are unlawful, threatening, abusive, libelous, defamatory, obscene, pornographic, profane, or indecent; (c) constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate the law; (d) violate, plagiarize or infringe the rights of any third party including, without limitation, copyright, trademark, patent, rights of privacy or publicity, or any other right of any third party; (e) contain a virus or other harmful or potentially harmful component; (f) contain any unsolicited or unauthorized advertising, promotional materials, spam, or any other kind of solicitation; (g) could be construed as inappropriate and offensive to other managers, inappropriate communication includes spamming other league team managers with trade offers and posting multiple messages on the message board; (h) constitute or contain false or misleading indications of origin or statements of fact; and/or (i) include any personally identifiable information as such term is defined under any applicable laws. CBSI reserves the right to terminate your ability to communicate within the League as well as to disqualify you from the League, FFS Services and/or the CBSI Platforms.

If you witness any user activity in the FFS Services that violates these Terms, please notify us of the activity via the feedback form located at https://help.cbssports.com/s/contact-us. CBSI cannot guarantee that any action will be taken as a result of your e-mail, but we appreciate your help in making the FFS Services an enjoyable experience for everyone.



3. Disclaimer of Warranties.

THE FFS SERVICES, INCLUDING, WITHOUT LIMITATION, ALL CBSI CONTENT, SOFTWARE, DOCUMENTS, FUNCTIONS, MATERIALS, GRAPHICS, AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE CBSI SERVICE, ARE PROVIDED "AS IS" TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE CBSI PARTIES MAKE NO REPRESENTATION OR WARRANTIES OR ENDORSEMENTS OF ANY KIND WHATSOEVER ABOUT: (A) THE FFS SERVICES; (B) THE CBS SPORTS CONTENT MADE AVAILABLE TO YOU THROUGH THE FFS SERVICES; (C) THE MATERIALS, INFORMATION AND FUNCTIONS MADE ACCESSIBLE BY THE SOFTWARE USED ON OR ACCESSED THROUGH THE FFS SERVICES; (D) THE ABILITY OF THE FFS SERVICES TO WORK WITH ANY PARTICULAR CLIENT APPLICATION; AND/OR (E) ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION THROUGH THE FFS SERVICES AND/OR THE CBSSPORTS.COM PLATFORMS. CBSI DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE FFS SERVICES OR ANY MATERIALS OR CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE FFS SERVICES, THE CBSSPORTS.COM PLATFORMS, OR THE SERVERS THAT MAKE THE FFS SERVICES AND/OR THE CBSSPORTS.COM PLATFORMS AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

CBSI DOES NOT WARRANT THAT YOUR ACTIVITIES OR USE OF THE FFS SERVICES ARE LAWFUL IN ANY PARTICULAR JURISDICTION, AND IN ANY EVENT, SPECIFICALLY DISCLAIMS SUCH WARRANTIES. YOU UNDERSTAND THAT BY USING ANY OF THE FEATURES OF THE FFS SERVICES, INCLUDING, WITHOUT LIMITATION, THE CBS SPORTS CONTENT, YOU ACT AT YOUR OWN RISK, AND YOU REPRESENT AND WARRANT THAT YOUR ACTIVITIES ARE LAWFUL IN EVERY JURISDICTION WHERE YOU ACCESS OR USE THE FFS SERVICES, INCLUDING, WITHOUT LIMITATION, THE CBS SPORTS CONTENT. FURTHER, THE CBSI PARTIES DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, NONINFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

THE CBSI PARTIES SHALL NOT BE LIABLE FOR THE USE OF THE FFS SERVICES, INCLUDING, WITHOUT LIMITATION, THE CBS SPORTS CONTENT AND ANY ERRORS CONTAINED THEREIN. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO THE EXTENT SUCH JURISDICTION'S LAW IS APPLICABLE TO THESE TERMS.



4. Limitation of Liability.

UNDER NO CIRCUMSTANCES SHALL THE CBSI PARTIES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, VENDORS, PARTNERS, CONTRACTORS, AGENTS, LICENSORS, OR OTHER REPRESENTATIVES ("COLLECTIVELY, THE "RELEASED PARTIES") BE LIABLE FOR ANY SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO THE USE OF, OR THE INABILITY TO USE, OR THE PERFORMANCE OF, THE FFS SERVICES, EVEN IF FORESEEABLE, OR CBSI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION. IN NO EVENT SHALL CBSI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY FAILURE OR DELAY IN THEIR PERFORMANCE DUE TO ANY CAUSE BEYOND THEIR REASONABLE CONTROL, INCLUDING ACTS OF WAR, ACTS OF GOD, ACTS OF THIRD PARTIES, EARTHQUAKE, FLOOD, EMBARGO, RIOT, SABOTAGE, LABOR SHORTAGE OR DISPUTE, GOVERNMENTAL ACT, POWER FAILURE OR FAILURE OF THE INTERNET OR COMPUTER EQUIPMENT. YOU ACKNOWLEDGE AND AGREE THAT IF YOU INCUR ANY DAMAGES THAT ARISE OUT OF THE RELEASED PARTIES' ACTS OR OMISSIONS, THE DAMAGES, IF ANY, ARE NOT IRREPARABLE AND ARE NOT SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR OTHER EQUITABLE RELIEF RESTRICTING OPERATION OF THE FFS SERVICES OR ANY OTHER SERVICE, PROPERTY, PRODUCT, PROGRAM, OR OTHER CONTENT OWNED OR CONTROLLED BY THE CBSI PARTIES.



5. Indemnity.

YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS THE RELEASED PARTIES WITH RESPECT TO ANY AND ALL COSTS, CLAIMS, DEMANDS, INVESTIGATIONS, LIABILITIES, LOSSES, DAMAGES, JUDGMENTS, SETTLEMENTS, COSTS AND EXPENSES, INCLUDING ATTORNEYS' FEES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, INCLUDING, WITHOUT LIMITATION, YOUR USE OF THE FFS SERVICES, INCLUDING, WITHOUT LIMITATION, THE CBS SPORTS CONTENT. NOTWITHSTANDING THE FOREGOING, CBSI RETAINS THE EXCLUSIVE RIGHT TO SETTLE, COMPROMISE AND PAY ANY AND ALL CLAIMS, DEMANDS, PROCEEDINGS, SUITS, ACTIONS OR CAUSES OF ACTIONS WHICH ARE BROUGHT AGAINST CBSI HEREIN UNDER THE TERMS AND PROVISIONS OF THIS SECTION 5, AND IN NO EVENT SHALL YOU SETTLE ANY SUCH CLAIM WITHOUT CBSI'S PRIOR WRITTEN APPROVAL.



6. Governing Law and Jurisdiction.

These Terms and all claims arising from or related to your use of the FFS Services will be governed by and construed in accordance with the laws of the State of New York, except New York's conflict of law rules. These Terms will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, if applicable. With respect to any disputes or claims not subject to arbitration or small claims court (as set forth in SECTION I OF CBSI TERMS OF USE), you agree to exclusive jurisdiction in the state and federal courts in New York, New York.

Regardless of any statute or law to the contrary, you must file any claim or action related to use of the FFS Services or these Terms within one year after such claim or action accrued. Otherwise, you will waive the claim or action.



7. Miscellaneous.

If any provision of these Terms shall be held invalid or unenforceable by any court of competent jurisdiction or as a result of future legislative action, such holding or action shall be strictly construed and shall not affect the validity or effect of any other provision of these Terms.
