1. Acceptance of Terms and Conditions. By accessing the CBSSports.com Brackets Mobile Web Companion (the "Mobile Brackets Companion") on the CBSSports.com web site (the "Sports Service") accessible at m.mayhem.cbssports.com, you hereby accept and agree to the terms of the Mobile Brackets accessible at http://www.cbssports.com/mobile/bracketgames/bracketcompanion-rules. MSG&Data rates may apply.

2. Playing Period: The Mobile Brackets Companion is a mobile web application that will allow users to follow the NCAA Division I Men's College Basketball Tournament (the "Tournament"). The Mobile Brackets Companion will be available starting on Monday, March 12, 2012 at 4:00 PM Eastern Time through on or about at 10:59:59 PM Eastern Time on Tuesday, April 03, 2012 (the "Brackets Period"). Users may access the Mobile Brackets Companion starting on March 12, 2012 and running through 12 noon on March 15, 2012 (the "Entry Period") to choose their picks and play along with the Tournament as described below. Sponsor may at its discretion shift the Brackets Period and/or any terms of the Mobile Brackets Companion and post notice of shift online at the Sports Service. The broadcast of the Tournament games are subject to preemption and schedule changes. Please check local television listings for Tournament's broadcast dates/times in your area.

3. Brackets Description: During the Entry Period, users need to go to the Sports Service, if you are not a Registered User of the Sports Service, you may register and obtain user identification ("ID") and associated password ("Password"). You will be asked to click on the link to "sign up free" and fill out the registration form in its entirety and successfully submit same. There is no fee to become a Sports Service Registered User.

Users may then go to the Tournament brackets page and register to play the Brackets Challenge game and/or the Bracket Manager game (collectively, the "Brackets"). In addition to being a Registered User for the Sports Service you must register separately to play the Brackets. There is no fee to register to or participate in the Brackets.

Registered Users of the Sports Service, already registered into the Brackets can access and play the Brackets during the Entry Period via the Mobile Brackets Companion through their web enabled mobile device by going to the Sports Service WAP site located m.mayhem.cbssports.com. Once there, users can make their picks of the teams in the Tournament they believe will win their games, during the Entry Period. Once the Entry Period has ended, users may follow the Tournament via the Mobile Brackets Companion during the Brackets Period.

Users using a wireless device will be charged standard data rates for accessing the web through their mobile device according to the terms and conditions of their Service Agreement with their wireless carrier. Each wireless carrier's rate plan may vary, and participants should contact their wireless carrier for information on data rate plans and charges relating to their participation in the Brackets.

Mobile service is offered on an 'as is' basis, may not be available in all areas at all times, and may not continue to work in the event of product, software, coverage or other service changes made by your wireless carrier. Your wireless service carrier may change or discontinue your service, may charge you additional charges at any time by giving you prior notice, and may provide that by disagreeing to charges it may discontinue the service.

4. Disclaimers: CBS, CBSI, and their respective parent, subsidiary and affiliated entities, employees, licensees, assigns and persons (collectively, the "Administrators") are not responsible for and shall not be liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of lost, incomplete, late, damaged, misdirected or incomplete Brackets or online communications; difficulties, failures or malfunctions of phones (including wireless phones/handsets), phone lines or telephone systems or other communications malfunctions; cellular equipment towers, telephone systems or wireless services; interrupted or unavailable networks or servers; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion or for any technical problem which may cause the Brackets' picks to be disrupted or corrupted; errors in receipt or tabulation of Bracket picks via online. Administrators are not responsible for any injuries, loss, or damage of any kind to person, including death, and property arising in whole or in part, directly or indirectly, from participation in the Brackets.

If for any reason the Mobile Brackets Companion is not capable of being executed as planned, or if there is an infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures, or if any other causes beyond the control of Administrators corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Mobile Brackets Companion, the Administrators reserve the right, in their sole discretion, to withdraw the transmission of any Bracket pick. Furthermore, the Administrators may permanently disqualify from any promotion any person they believe has intentionally violated these rules, and to terminate or suspend the Brackets at any point if it appears that the Brackets pick process has been so distorted by hacking or other interference that the results would not reflect actual valid Bracket picks should the Bracket picks continue. Administrators and their respective agents, officers, directors, employees, subsidiaries and affiliates assume no responsibility for any injury or damage to participants or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with the Mobile Brackets Companion. Administrators are not responsible for telecommunications, network, electronic, technical or computer failures of any kind, for inaccurate transcription of Bracket picks information, errors in any promotional or marketing materials, for any human or electronic error, or for Brackets picks that are stolen, misdirected, garbled, delayed by computer transmissions, lost, or late.

These Terms and Conditions are subject to change at any time at the sole discretion of the Administrators. Notification regarding any such change will be posted at www.CBSSports.com.

Caution: Any attempt by an individual to deliberately damage any online service or website, tamper with the voting process, or otherwise undermine the legitimate operation of the Program is a violation of criminal and civil laws and should such an attempt be made, Administrators reserve the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law.

5. Conditions for Brackets Picks: Administrators reserve the right to disqualify, block or remove any Bracket picks from any individual who does the Brackets picks by any electronic, mechanical or automated means, or otherwise tampers with the Mobile Brackets Companion, or for any other reason, as determined by Administrators in their sole discretion.

Administrators are not responsible for any damages to users' device(s) that may occur from use of service and/or the Brackets. Administrators reserve the right, for any reason and in their sole discretion, to modify, suspend or discontinue the Mobile Brackets Companion without prior notice.
